Business and application categories
MAS provides for a standard online CMS application route and does not specify a single centralised application deadline; eligibility must be assessed according to the activities applied for and the entry requirements in force at the time. RFMC is no longer a registration route open to new applicants. Verification date: 2026-11-04. The regulatory review period is not a guarantee of approval. The RFMC regime was abolished on 2024-08-01; VCFMs must still be licensed but are subject to specific exemptions. Content verified as at 2026-11-04; the regulatory review period is not a commitment to grant approval. Transcript omitted wording from original: [The supplied text places the general CMS overview after the RFMC and VCFM statements.]
Business characteristics and suitability considerations
- Establish a clear business rationale within the approved regulated activities, products and client scope, and do not mistake company incorporation for a financial services licence.
- A single CMS licence may cover multiple activities approved by MAS, facilitating the planning of business collaboration across dealing, corporate finance advisory and asset management.
- Applies to traditional capital markets products and tokenised products classified by law as capital markets products, but does not automatically cover payment, banking or market-operating activities.
- Fund management may select an LFMC or qualifying VCFM arrangement according to client categories and investment strategies, with capital and governance resources configured to the actual business.
- Licensing details are listed in the MAS Financial Institutions Directory, making it easier for counterparties to verify the authorisation. This does not mean that MAS guarantees investment returns, that client assets will not incur losses, or that a bank will necessarily open an account.
Dealing in Capital Markets Products
Covers securities, units in CIS, OTC and exchange-traded derivatives, as well as spot foreign exchange for leveraged foreign exchange trading. It is necessary to further determine whether the firm acts as agent or principal, its trading and clearing membership status, client categories, and whether it holds client monies or assets or carries client positions on its books. Whether a crowdfunding or tokenised securities platform falls within scope should be assessed by reference to the substance of its business.
Capital / funding requirements:Generally tiered from S$50000 to S$5000000. S$50000 applies only to specific non-retail models prescribed in the Schedule that do not hold client monies or assets, carry client positions or act as principal in transactions for clients; it is not the starting capital requirement for all brokers. [1] [3]
Advising on Corporate Finance
Includes advice relating to corporate finance, listings and securities offerings, as well as advice on takeovers, mergers and restructuring as defined under applicable law. If the firm also conducts placements, underwriting or solicitation of securities transactions, it must separately assess the dealing activity permissions and other rules that apply.
Capital / funding requirements:Base capital of S$250,000; where other activities are also authorised, the highest applicable threshold will generally apply, together with separate financial resource requirements.[1] [3]
Fund Management: A/I LFMC
Holds a CMS licence for fund management and serves only accredited investors and institutional investors. Its scope may include securities portfolios, funds and alternative investment strategies within the authorised scope; it is not a new name for an RFMC, and exemption from licensing does not arise automatically merely because assets under management are small.
Capital / funding requirements:Base capital is generally S$250,000, with financial resources and risk requirements calculated separately under the applicable capital notice.[3] [5]
Fund Management: Retail LFMC
May manage portfolios for non-accredited or non-institutional clients within its authorised scope, or manage collective investment schemes offered to such investors. The manager's licence and the requirements for authorisation, recognition or offering documents applicable to the fund itself must each be satisfied separately.
Capital / funding requirements:Portfolio management for non-A/I clients requires S$500,000; management of a CIS offered to non-A/I investors requires S$1,000,000. Where relevant activities are combined, the applicable higher threshold must be assessed; the requirement cannot be stated uniformly as S$250,000.[3]
Fund Management: Venture Capital Fund Manager (VCFM)
Manages only venture capital funds that meet the statutory definition, with investors limited to accredited and institutional investors, and subject to closed-ended and portfolio restrictions. A CMS fund management licence is still required; specific exemptions apply to capital, representatives and certain control requirements.
Capital / funding requirements:Where only qualifying VCFM business is conducted, the First Schedule lists base capital as 0, and an exemption from financial resource rules applies; this does not mean there is no operational funding requirement, and it does not apply to entities that combine this business with other CMS activities.[3] [4]
Real Estate Investment Trust Management (REIT Management)
Applies to the management of real estate investment trusts as defined by the regulations, which are authorised or recognised and whose units are listed on an approved exchange. Specific governance requirements and collective investment scheme rules must be observed; a general unlisted real estate fund does not automatically fall into this category.
Capital / funding requirements:Base capital of S$1,000,000, with dynamic financial resource requirements.[1] [3]
Product Financing
Providing credit facilities to clients, as a regulated activity, to purchase or subscribe for capital markets products, including margin financing that meets the definition. Credit approval, collateral valuation, concentration, and margin call and disposal procedures must be established.
Capital / funding requirements:Base capital of S$1,000,000, not S$500,000 as stated in the original source; applicable financial resource and margin requirements must also be met.[1] [3]
Providing Credit Rating Services
Assessing and providing credit ratings within the scope of the legal definition. The institution must demonstrate its methodologies, analytical capability, rating independence and controls over conflicts of interest; a rating should not be equated with a guarantee of investment returns.
Capital / funding requirements:Base capital of S$250,000; an institution licensed only for credit rating activities is exempt from the corresponding financial resource provisions, while entities conducting other business must reassess the applicable requirements.[1] [3]
Providing Custodial Services for Securities
Providing clients with securities custody services as defined by the regulations, including related record-keeping and corporate action processing. Distinctions must be made between proprietary assets, client assets and sub-custody arrangements; not all digital token custody automatically constitutes securities custody.
Capital / funding requirements:Base capital of S$1,000,000; the S$1,000,000 to S$5,000,000 stated in the original source is not a uniform current tier for standalone custody business. A higher threshold may apply where other activities are also conducted.[3]
First determine the seven activities and the actual business boundaries
CMS is an institutional licence issued by MAS under the Securities and Futures Act. The seven activities are dealing in capital markets products, advising on corporate finance, fund management, REIT management, product financing, providing credit rating services and providing custodial services for securities. Securities dealing, futures dealing and leveraged foreign exchange are generally different product scopes under the dealing activity; they should not be counted alongside fund management and the other activities as separate licences to make up seven distinct licence types. A licence must specify the authorised activities, products and restrictions; an activity that has not been authorised cannot be conducted automatically by virtue of holding another type of CMS authorisation.[1] [2]
Before applying, map out in detail the onboarding, marketing, order receipt, investment decision-making, flow of funds, settlement and asset custody processes. Providing general investment advice may fall within the Financial Advisers Act; operating an organised market may require recognition as a market operator; payment token services may be subject to the Payment Services Act. Where a CMS licensee provides financial advisory services, it may, subject to the applicable conditions, make the commencement of business notification and representative arrangements for an exempt financial adviser. It is not correct to assert categorically that a separate FA licence is always required, nor should CMS be treated as permission to provide payment services or accept deposits.[1]
- Client category, asset type, who holds the funds and who bears the transaction risk are the key facts determining licensing and capital requirements.
- Statutory exemptions available to banks and similar entities do not mean that an ordinary newly incorporated company is also exempt; intra-group management or family office arrangements must be assessed against the statutory conditions on a case-by-case basis.
- A Singapore licence is not a cross-border sales passport for other jurisdictions.
Dealing Activities: Brokerage, Placement, Derivatives and Crowdfunding
A dealing application must specify the actual product scope among securities, units in CIS, exchange-traded derivatives, OTC derivatives and leveraged spot foreign exchange, and explain whether the company acts as an agent executing transactions or as principal, and whether it is a member of an exchange or clearing house. Receiving orders, soliciting transactions, issuing or placing securities, or securities-based crowdfunding may fall within the definition of dealing. A purely technology-based platform must also be assessed to determine whether it in fact arranges or facilitates transactions; its self-description in a contract as a technology provider is not determinative.[1] [2]
Capital requirements vary by model. For example, a clearing member for securities, units in CIS and exchange-traded derivatives is subject to S$5,000,000; S$50,000 may apply only to certain models that serve accredited, expert or institutional investors, do not hold client positions, money or assets, and do not deal with clients as principal. For leveraged spot foreign exchange, the requirement is S$5,000,000 for clients who are not accredited, expert or institutional investors, and S$1,000,000 where services are provided only to the aforementioned professional client groups. If products, membership status or client asset arrangements change, the original lower-capital conditions may no longer be met.[3]
- Prepare policies covering the order lifecycle, choice of execution venue, handling of erroneous trades and conflicts of interest.
- Include client money segregation, trading limits, and credit and liquidity risk in system testing.
- Securities-based crowdfunding also requires assessment of issuer due diligence, default handling, risk disclosures and securities issuance exemptions.
Advising on Corporate Finance: Do Not Confuse This with Personal Financial Advice
Advising on corporate finance involves advice on financing, mergers and acquisitions, and corporate restructuring within the statutory scope. It is suitable for institutions providing advice on listing preparation, securities issuance or M&A transactions. Application materials should specify the services, clients, remuneration structure and whether the firm participates in the sale of an issuance. An advising on corporate finance authorisation does not, by itself, cover underwriting, securities placement, portfolio management or recommendations to individuals to invest in third-party products; each such element must be classified separately.[1] [2]
The base capital for this activity is S$250,000, and applicable financial resource rules must also be met. The firm should establish due diligence procedures for clients and transaction backgrounds, project approval processes, conflict identification and restrictions on access to sensitive information. Where an adviser acts for both sides of a transaction, receives fees contingent on successful financing, or is connected with investors or issuers, it should have practical and enforceable conflict management procedures. CMS authorisation alone does not establish eligibility for listing sponsorship or exchange project qualifications.[1] [3] [7]
- Materials should include proposed advisory agreements, project due diligence procedures, internal approval record templates and fee disclosures.
- If the firm intends to rely on the corporate finance adviser exemption, it must separately verify the client and business scope, notification and ongoing conditions; this should not be treated as a general route to exemption from licensing.
Fund Management: A/I LFMC and Retail LFMC
Where investment portfolio management is provided for external clients, whether through discretionary accounts, open-ended funds or qualifying alternative asset strategies, the fund management licensing position should first be assessed. The client restrictions and capital requirements differ between an LFMC serving only accredited and institutional investors and an LFMC managing retail client portfolios or retail CIS. A/I was not abolished with the removal of the former regime; it remains a business scope that must be identified. A client's verbal description of themselves as high-net-worth is not grounds to bypass accredited investor qualification and applicable consent procedures.[3] [5] [6]
A/I fund management generally requires base capital of S$250,000; management of portfolios for non-A/I clients requires S$500,000; and management of a CIS offered to non-A/I investors requires S$1,000,000. The fund management company and the funds it manages are distinct regulatory subjects. Obtaining a manager's licence does not mean that the fund may be offered directly to the public. Separate arrangements should be made for the fund vehicle, offering documents, investment restrictions, independent custody, valuation and administration services, and fees, related-party transactions and redemption arrangements should be disclosed.[3] [5]
- Set out the investment strategy, asset classes, leverage, liquidity, valuation methodology and the actual location of investment decision-making.
- Confirm the qualifications of dedicated fund management personnel, compliance arrangements and insurance requirements against the current SFA04-G05; do not mechanically apply figures from generic CMS webpages.
- The exemption for a single-family office or group-internal management must be confirmed against the latest statutory conditions; exemption does not arise automatically from the name.
VCFM: strict investment conditions and abolition of the RFMC regime
A VCFM remains a manager required to hold a CMS licence for fund management; it is not an exempt registration. Its funds must meet the definition in Regulation 14: participants must be accredited or institutional investors, units must not be redeemable at the request of participants, and the fund is subject to restrictions including those relating to the offer period. Non-qualifying investments must not exceed 20% of committed capital; the qualifying portion must relate to unlisted specified products and meet the condition that, when the relevant products allocated by the issuer are first acquired, the issuer has been established for no more than 10 years, as well as the relevant SPV requirements. A fund does not qualify for simplified treatment merely because its name includes the words venture capital.[4]
When conducting only the statutory VCFM business, the base capital in the First Schedule is 0, and exemptions apply to financial resources and certain statutory provisions, including the representative regime and specified provisions such as sections 96 and 97A of the SFA. The exemptions do not remove obligations relating to fit and proper status, anti-money laundering, genuine local operations or specific annual declarations, nor do they mean that no funds are needed to maintain operations. Before adding other activities, adopting an investment strategy outside the VCF definition or changing the client base, confirm whether the business must convert to an LFMC and meet the applicable capital and staffing requirements.[3] [4] [5]
The RFMC regime was abolished on 2024-08-01, and the corresponding definitions, Schedule arrangements and section 54A in the current regulations have been marked for deletion. The former registration framework based on 30 clients and S$250,000,000 in assets is not available as a new application route in 2026, and old registration materials cannot establish that an entity may still lawfully operate today. When considering the acquisition of a company that was formerly an RFMC, check its current CMS authorisation or lawful exemption rather than relying solely on historical registration evidence.[4] [5] [6]
- A VCFM must submit an annual declaration in Form25A within one month after the end of its financial year.[4]
- Do not extend VCFM exemptions to non-qualifying private equity, secondary-market or mixed strategies.
REIT management: statutory scope and independent governance
REIT management concerns a real estate investment trust as defined in the Regulations: it must be an authorised or recognised trust, invest primarily in specified real estate and related assets, and have all or some of its units listed on an approved exchange. An ordinary real estate fund, project company or property management service does not automatically fall within this activity; the former may involve fund management, while the latter does not necessarily require a REIT management CMS licence simply because it manages buildings.[4]
The base capital is S$1,000,000, and applicable financial resources must be maintained. MAS’s general page specifies at least three local full-time relevant personnel for REIT management; specific governance rules also address the proportion of independent directors and the qualifications of the chairperson. The Regulations specify at least one-half or at least one-third independent directors, depending on whether unitholders are entitled to vote on the appointment of the manager’s directors. Design in advance the approval processes for valuations, related-party acquisitions, fees and material asset transactions, and implement them together with the Code on Collective Investment Schemes and exchange requirements.[1] [3] [4]
- Prepare the real estate investment and financing strategy, valuation policy, external property management contracts, conflicts register and governance arrangements.
- Events such as an independent director ceasing to be independent or a shortfall in the required number of independent directors are subject to specific notification requirements and should not be handled merely as ordinary company director changes.
Product financing: credit and margin obligations
Product financing involves providing credit facilities to clients to finance the purchase or subscription of capital markets products, typically securities margin financing. It is distinct from collecting fund subscription monies, general corporate lending or payment account services. The application should explain the source of funds, client credit approval, loan tenor, types of guarantees and collateral, and whether the company also trades or holds clients’ securities; these combinations affect the required activity permissions and risk capital.[1] [2]
The current base capital in the First Schedule is S$1,000,000; references in old materials to S$500,000 should be deleted. Applicable margin requirements must also be implemented in accordance with the capital and margin regulations, and the business must address collateral price movements, concentrated positions, margin shortfalls and compulsory disposal following default. The actual funding budget also includes financing assets and liquidity reserves; meeting the minimum base capital does not mean that the business can conduct large-scale financing.[1] [3]
- Submit financing agreements, haircut rates and concentration limits, daily valuation procedures and margin call notice templates.
- Include credit stress testing, interruptions to funding sources and scenarios in which collateral cannot be liquidated in the risk framework.
Securities custody: asset ownership and sub-custody
Whether a service constitutes securities custody must be assessed according to the actual safekeeping, registration and control arrangements, including holding securities for clients and handling related corporate actions. The company should not record client assets as its own assets, and must establish client ledgers, asset reconciliation, access and instruction authority, and procedures for selecting and ongoing oversight of sub-custodians. If an omnibus account is used, detailed records must enable each client’s interests to be identified, and the legal and operational risks must be explained to clients.[4] [15]
The base capital for standalone custody activity is S$1,000,000; higher combined capital may apply only if the business also conducts activities with higher thresholds, such as clearing member trading. Tokenised securities should be assessed according to their substance when determining custody permissions; ordinary payment tokens cannot be treated as securities custody under a CMS licence. A manager’s arrangement for third-party custody does not mean that the manager itself is automatically authorised to conduct securities custody business for external clients.[1] [3]
- Materials should include custody agreements, analysis of overseas custody legal risks, sub-custodian due diligence, asset reconciliation and business continuity and recovery procedures.
- The applicable law, manner of holding and permitted use of client cash, securities and the company’s own assets must be determined separately.
Credit rating: methodology, independence and updates
A credit rating application should describe the rated subject, methodology, data sources, analysis team, rating committee, ongoing monitoring and rating withdrawal procedures. A credit rating is an opinion on creditworthiness within the scope of the statutory definition; it is not a buy or sell recommendation or a guarantee that an issuer will never default. The boundary between internal credit scoring and providing ratings externally should be assessed against the specific business and legal definition; not every use of a scoring system requires a credit rating licence.[1] [2] [7]
The base capital is S$250,000; institutions authorised only for credit rating activities are subject to corresponding exemptions from financial resources requirements. Fees paid by issuers, analysts holding securities that they rate, and affiliations between shareholders and rated entities may all give rise to conflicts of interest. Establish independent approval, separation of analyst and sales functions, confidentiality of information and rating review mechanisms. An institution conducting trading or corporate finance advisory at the same time cannot rely on the exemption applicable solely to credit rating agencies.[1] [3] [4]
- Submit the rating policy, committee authority, record-keeping arrangements, fee and conflict disclosures, complaints procedures and methodology change procedures.
- The professional team composition and any applicable personnel exemptions must be confirmed against the specific credit rating requirements.
Directors, CEO, representatives and compliance resourcing
MAS’s general CMS page specifies at least two directors, at least one of whom must be resident in Singapore; a CEO who is resident in Singapore and has at least 10 years of relevant experience; and at least two relevant full-time personnel working in Singapore for each activity, or at least three for a retail LFMC and REIT management. Note that specific frameworks and exemptions for fund management, VCFMs and credit rating may affect the applicable personnel requirements; these general figures should not be presented as identical hard thresholds for every category. Confirm the specific director qualifications and relevant professional personnel requirements for fund management against the current SFA04-G05.[1] [4] [5]
Where business personnel are subject to the representative regime, complete company due diligence, fit and proper assessment, checks on applicable examinations or exemptions, and appointment notification and registration before they conduct activities within the authorised scope. Compliance must have sufficient knowledge, internal authority and channels for escalating issues to the board; risk management must be able to challenge the front office; and internal audit must be independent. There is no universal requirement that applies to all CMS companies prescribing three or five years of experience for a compliance officer, and outsourcing compliance does not mean that the board ceases to be responsible.[4] [7]
- CVs should describe actual responsibilities, product experience, years in management, employment relationship, local working arrangements and conflicts arising from concurrent roles.
- VCFM representatives have a statutory exemption, but the firm must still ensure that personnel are competent and fit and proper. An exemption from representative registration does not mean that there are no staffing requirements.
- Recruitment, work passes and residence arrangements should be consistent with the application plan; a MAS licence does not replace lawful work authorisation.
Genuine Singapore address and operational substance
An ACRA registered office must be in Singapore and open to the public for at least three hours on every business day to receive communications and legal documents. ACRA also clarifies that a registered office need not be the actual place of business. A CMS company must also enable MAS to identify its principal place of business and demonstrate local management, staff, access to records and operational capability. It therefore cannot claim to have met financial institution substance requirements solely on the basis of a company secretary’s correspondence address or a virtual mailbox.[2] [11]
Submit a lease for an office genuinely used, or an applicable service agreement, and explain the dedicated working areas, protection of confidential records, system access and staff attendance arrangements. Whether a shared or serviced office is adequate depends on confidentiality, inspectability and actual operating conditions, and should be confirmed against the business and MAS’s current requirements; leasing a specific CBD office is not mandatory. MAS’s address is 10 Shenton Way, MAS Building, Singapore 079117; this is the regulator’s address, not an address that an applicant may use, and CMS applications should be submitted through the official online channel rather than in person.[1] [19]
- The applicant’s address, ACRA registration records, banking information and MAS submissions should be consistent with one another, and address changes must be updated separately with the relevant parties.
- Do not invent a Singapore office location when the applicant’s lease details have not been provided, and do not misrepresent a Hong Kong consultant’s address as a locally licensed business address.
Base capital, financial resources and cash budget
Base capital is not determined solely by the nominal share capital stated at company incorporation. The SF(FMR)R definition covers eligible items such as paid-up ordinary share capital, reserves and audited retained profits and losses, less applicable interim losses and dividends declared. Ordinary shareholder loans do not automatically qualify as base capital. Eligible items and deductions for financial resources must also be calculated under the Regulations and applicable capital notices. Where multiple activities are conducted, the highest base capital threshold generally serves as the starting point; the requirements are not simply added together, nor may the lowest one be selected. [1] [3]
Most applicable licensees must also maintain financial resources in excess of total risk requirements and handle notifications and restrictions applicable when resources fall below the 120% warning threshold. Credit rating agencies conducting that activity alone and qualifying VCFMs are subject to specific exceptions; the ordinary risk capital formula cannot be applied to every firm. The source material’s blanket statement that operational risk is 15% of average income over three years is unreliable; the current SFA04-N13 and the formula for the relevant business should be applied. MAS may also impose higher requirements on individual institutions. The company should separately budget for recruitment, rent, systems, audit, insurance and cash burn during unprofitable periods. [3]
- Prepare four reconciled forecasts covering base capital, financial resources, risk requirements and cash flow.
- Any actual or expected capital shortfall must be notified immediately in accordance with the applicable Regulations, without waiting for a quarterly or annual filing.
- Client assets and fund subscription monies are not the company’s operating capital.
Application Documents: From Business Description to Implementable Policies
The company information package should include the ACRA business profile, constitution, director and shareholder records, complete ownership chain and evidence of ultimate controllers. The personnel package should include identification, addresses, CVs, qualifications, past regulatory records and fit and proper declarations for the CEO, directors and relevant business personnel. The financial package should present existing accounts, the source of capital funds and capital injection plans, and profit and loss, balance sheet and cash flow forecasts aligned with assumed business volumes. All names, percentages, responsibilities and dates must be consistent with one another. [1] [7] [20]
The business plan should specifically describe the activities applied for, products, target clients, business and funds flows, fees, external counterparties, marketing channels and projected scale. Fund management applications should include investment strategies and fund structures; dealing applications, order and settlement flows; financing applications, credit facilities and margin; custodial applications, asset safekeeping and reconciliation; and credit rating applications, methodologies and committees. The recommendation in the source material to prepare three-year forecasts may be used, but unverified fixed periods, form names or attachment formats must not all be represented as a uniform statutory checklist for every application type. [1] [5] [7]
The policies package should cover the compliance and risk framework, customer due diligence, sanctions and suspicious transaction handling, conflicts of interest, complaints, personal account dealing, record retention, business continuity, technology security and outsourcing oversight. Prepare bank and custodial arrangements, evidence of office use, outsourcing contracts, system testing and applicable professional indemnity insurance arrangements in line with the actual business. Whether insurance is mandatory, its minimum limit and acceptable form must be confirmed by reference to the relevant classification and current guidance; a limit must not be invented or the same policy described as mandatory for all CMS institutions. [4] [7]
- It is recommended that attachments be organised by company, personnel, financial, business, compliance, technology and operations, with version control and an evidence index retained.
- Requirements for certification, translation and validity periods of foreign documents are subject to the online form and the reviewing officer’s requirements.
- MAS may request further information; a consultant’s checklist does not replace the official application form in force at the time.
Application Process and Online Submission Portal
First complete the regulated activities analysis and eligibility gap assessment, then establish the application entity, personnel and funding arrangements, and finally consolidate the official forms and supporting documents. The current MAS general CMS page lists Form1 and requires online submission; applications by email are no longer accepted. Fund management and VCFM applicants should check the forms on their respective current application pages. Do not rely on the contradictory explanations of Form1A in the source material, or describe VCFM as a business that only needs to submit an exemption commencement-of-business notification. [1] [5]
After submission, retain the application reference number, attachment versions, payment receipts and all formal queries and responses. Responses to queries should explain the facts and update the relevant documents; different assumptions must not be used in the financial forecasts and business plan. MAS may be consulted where the business model is new or the licensing boundaries are unclear, but preliminary discussions are not pre-approval. Some current change and change-of-control forms expressly use MAS-Tx; access the service from the relevant MAS page instead of continuing to describe WINGS or MASNET, as stated in the source material, as the sole current portal for all business. [1] [8]
- After in-principle approval, fulfil each condition in the letter, such as requirements relating to capital, personnel, premises, insurance or system evidence. Do not conduct activities requiring a licence until formal authorisation has been received.
- Applications to expand licensed activities are generally submitted using Form5, and applicants should check additional obligations concerning representatives, capital and business conduct. [1]
- A centralised application window and an ordinary online CMS application are different concepts; the CMS page does not list a uniform annual application deadline.
Timeline, In-Principle Approval and Official Fees
MAS’s general CMS page estimates that review of a complete application meeting all admission criteria may take up to approximately six months. Complex applications, incomplete information, unmet conditions or material changes during the process may extend the review or even require resubmission. This period is not a guarantee covering the time from project commencement to actual launch; recruitment, company incorporation, account opening, systems development and fulfilling in-principle approval conditions may take additional time. Applicants must not be promised approval by a particular date, and the fixed weekly schedules for successive rounds of queries in the source material should not be used. [1]
Successful applicants are generally given up to six months to meet the conditions of in-principle approval. MAS may, where there are sufficient grounds, grant a further extension of three months at its discretion, and may also withdraw the approval. The general CMS application fee is S$1000 and is non-refundable; the fee for an application to add an activity is S$500. Annual fees are cumulative by approved activity and are not determined by applying a highest-capital rule: advising on corporate finance, REIT management and credit rating are each S$4000; product financing and custodial services are each S$2000; dealing is S$2000 to S$8000 depending on the product and membership status. Representative fees and current fund management charges should also be checked. [1]
- Professional services fees, insurance, bank charges, audit and personnel remuneration are quoted separately and are not treated as uniformly prescribed by MAS.
- In-principle approval is not a formal licence permitting dealing, and preparing capital does not guarantee a higher likelihood of approval.
Acquisition of a Licensed Company and Change of Effective Control
Ordinary applicable CMS companies are governed by section 97A of the SFA: directly or indirectly holding 20% or more of the issued share capital, controlling 20% or more of the voting rights, or being in a position to determine the company’s policy or cause the company or its directors to act in accordance with one’s directions may each constitute effective control. The interests of associated persons must also be analysed together. With effect from 2025-01-24, the current provision requires MAS approval before effective control is acquired; the wording in older materials that approval is required before all arrangements are entered into should not be applied mechanically. A transaction may be structured with approval as a condition to completion, but actual control must not be obtained before completion. [2] [8]
Acquisition due diligence should cover the Financial Institutions Directory, existing authorisations and restrictions, capital and profit and loss, client monies, unresolved complaints, regulatory correspondence, audit deficiencies, personnel retention and systems contracts. The purchase price is not capital injected into the licensed company, and a licence is not an asset that can be sold independently. The application should explain the buyer’s ultimate controllers, source of funds, post-completion governance and business plan. Holding less than 20% does not necessarily exempt the buyer from review, and exceeding the threshold does not result in automatic approval; existing approval conditions and actual influence must also be considered. [2] [8]
Qualifying VCFMs are exempt by law from section 97A and certain other specified provisions. Accordingly, changes in their shareholding and personnel should not be assessed by applying the ordinary CMS conclusion that prior approval is required at the 20% threshold. They must still comply with current VCFM guidance, information notices and licensing conditions, and confirm that a transaction or new business will not cause the institution to lose its exemption. A transfer of fund or client business is different from an acquisition of company shares and may involve contractual consents, asset migration and separate statutory procedures; a single shareholding approval cannot replace all transfer formalities. [2] [4] [5]
- An ordinary change-of-control application is submitted using the current form through MAS-Tx; entities without an assigned reviewing officer should submit it through the official contact channel. [8]
- Veto rights, director appointment and removal rights, and policy directions in shareholders’ agreements must be assessed together with shareholding percentages.
Changes to Directors, CEO, Address and Representatives
The ordinary rule under section 96 of the SFA requires prior MAS approval for the appointment of a CEO or director, and for a director to move from non-executive to executive status, subject to statutory or specific exceptions. MAS’s current Form11 page states that it is for CMS institutions other than LFMCs. Fund managers should therefore check the updated processes for specific appointments and information notices, rather than relying on the outdated practice of requiring all fund management personnel to submit Form11. Qualifying VCFMs are exempt from specified statutory provisions; the relevant individuals must nevertheless remain fit and proper, and the appointment process, notification deadlines and conditions should be confirmed against the current G05 and MAS requirements. [2] [4] [5]
Section 93 of the SFA requires changes to particulars that must be registered, and cessation of activities, to be reported within 14 days of the event; this does not mean that every event may be regularised by filing within 14 days after the fact. Changes requiring prior approval must be approved first, and separate procedures apply to the appointment and termination of representatives. Serious fitness and propriety or financial events may require immediate notification. The current fund management page also states that changes to information concerning relevant directors, professionals, shareholders and institutions must be notified through MAS-Tx within 14 days. The company secretary must separately maintain ACRA and bank information; a notification to MAS does not mean that updates to other authorities have been completed. [2] [4] [5] [6]
- Establish a change register distinguishing prior approval, prior notification, post-event notification and immediate reporting.
- Before commencing any new activity or customer category, or changing capital tier, assess the applicable licensing and capital requirements.
- When a key person leaves, confirm whether the local minimum staffing requirements can continue to be met; do not assume that a vacancy may remain unfilled indefinitely merely because a notification has been submitted.
Anti-money laundering, customer due diligence and sanctions screening
The AML framework should cover an institution-wide risk assessment; identification of customers and ultimate beneficial owners; customer purpose and source of funds; enhanced due diligence for higher-risk customers; and ongoing transaction monitoring and account reviews. When suspicious activity is identified, handle reporting in accordance with applicable obligations and restrict disclosure to customers of investigation or reporting information. Fund subscriptions, capital injections, transfers involving related parties and complex cross-border structures are all fund flows that require explanation. Outsourcing to banks, administrators or screening providers does not discharge the company’s own responsibilities. [4] [16]
The old SFA04-N02 text and the old guidelines cited in the source material are marked on the MAS website as cancelled with effect from 2025-07-01; the 2022 or earlier versions must not continue to be treated as current. MAS issued a new version under the same reference number in 2025-06. Before commencing formal operations, the notice and annexes then in force must be obtained, and the entities to which they apply must be confirmed. As the new annexes could not be extracted in full on this occasion, this material does not carry forward all paragraph numbers, a uniform starting point for record-retention periods or reporting deadlines from the old version, nor does it describe all foreign sanctions lists as lists that Singapore law requires compliance with. A distinction should be drawn between sanctions mandated by Singapore law and additional requirements imposed by banks and counterparties.[16]
- Prepare records of customer risk ratings, sanctions and politically exposed person screening, alert investigations, escalation to management, training and independent testing.
- Confirm the applicable requirements in force at the time for proliferation financing risks, cross-border arrangements and the various record-retention obligations.
Safeguarding customer assets, account opening and technology outsourcing
Sections 104 and 104A of the SFA require money and assets received to be dealt with in accordance with the purposes agreed with customers, held as required by law and recorded separately for each customer. Customer assets generally must not be used to repay the liabilities of a licensed company. Confirm the specific trust accounts, custody arrangements, deposit periods and exceptions under the SF(LCB)R and in light of the business circumstances; do not describe the treatment of all fund, institutional customer and derivatives money as identical. A fund manager should generally arrange for compliant custody and valuation, rather than having fund subscription monies paid into the manager’s general operating account. [4] [15]
Account-opening materials should present the company’s incorporation documents and constitution, board authorisations, signatories, complete ownership and beneficial ownership details, business plan, source of funds, and evidence such as an IPA or formal licence as required by the bank. If customer money is to be handled, explain the legal nature of the account, withdrawal authorities and reconciliation process to the bank in advance, and distinguish it from the company’s operating account. Banks have independent due diligence and risk-acceptance standards; neither a CMS nor an IPA guarantees account opening, and there is no uniform completion date that can be promised. Include account opening as a dependency for commencing operations. [20]
Technology and outsourcing arrangements should implement least-privilege access, multi-factor authentication, protection of sensitive information, logging, backup and recovery testing, and vendor due diligence, access and audit rights, data transfer and exit arrangements. Verify the applicable technology risk notices and incident-reporting timeframes against the CMS entity and its business; do not apply Bank Notice 644 and its timeframes directly to all CMS companies. Customer complaints and losses should be handled under the contract and applicable remedial procedures; do not claim that all customers receive uniform S$50000 compensation or that MAS backstops investment losses. [4] [15]
- Incorporate client-asset reconciliations, error-trade handling, reviews of unusual payments and segregation of duties into day-to-day operations.
- Outsourcing does not transfer the responsibilities of the board or management; cross-border data and service-provider arrangements must preserve inspection and access capabilities.
Post-licensing filings, audits and exit arrangements
Ordinary applicable CMS licensees must appoint an auditor and, under section 107 of the SFA, submit annual accounts and an audit report within 5 months after the end of the financial year, unless an extension is permitted or a specific exemption applies. They must also submit business and financial returns under applicable notices and MAS toolkits, and continuously monitor capital, client assets, conflicts of interest, outsourcing and personnel. Books and records must be kept for at least 5 years under section 102; different records may have different commencement points and longer retention requirements. Do not treat the former materials’ statement that all companies uniformly file Form17/17A within 14 days after each quarter as a complete statement of current filing requirements. [3] [9] [10] [15]
A CMS licence is not reissued every year, but applicable annual fees must be paid and the authorisation conditions must continue to be met. A licence may also lapse, be suspended or be revoked by law. If an ordinary CMS licensee does not commence at least one authorised activity within 6 months of licensing, the licence may lapse under Regulation 9 unless MAS permits a longer period; ceasing all activities or intending to exit also triggers notification and client-offboarding requirements. VCFMs have specified exemptions from audit and conduct provisions and must submit a Form25A declaration within 1 month after the financial year-end. The ordinary CMS annual-audit provisions should not be applied indiscriminately to VCFMs. [1] [4] [15]
- The annual calendar covers audits, regulatory returns, annual fees, staff training, control testing, client reviews, and system and outsourcing assessments.
- Significant breaches, capital deficiencies or events involving the unsuitability of personnel must be handled in accordance with the relevant immediate or time-limited reporting requirements.
- Before exit, plan for the return of client assets, migration of funds and accounts, record retention, termination of representatives and final reporting.
ACRA company maintenance and IRAS taxation
A Singapore company must maintain a qualified local director and a company secretary. Section 171 of the Companies Act requires the secretary to be a natural person whose principal or only place of residence is in Singapore, and the office of secretary must not remain vacant for more than 6 months. Higher CMS governance requirements are not displaced by the ordinary minimum requirements for companies. The annual return is generally due within 7 months after the financial year-end for a non-listed company and 5 months for a listed company; special deadlines apply to matters such as the register of members of a foreign company branch. AGM requirements and exemptions must be assessed separately. ACRA filings do not replace MAS returns. [11] [12] [13]
IRAS states that the general corporate income tax rate is 17% of chargeable income. ECI is generally due within 3 months after the financial year-end, except where an exemption or special filing exemption applies; the annual FormC-S, C-S(Lite) or FormC is generally due by 11-30 each year. The tax status and nature of income of an investment fund differ from those of its management company. Obtaining a CMS licence does not automatically exempt management fees from tax or qualify a fund for tax incentives. GST, cross-border services and related-party pricing must be assessed separately; do not substitute a blanket conclusion that all financial services are GST-exempt for a tax analysis. [14]
- Even if the company is loss-making, has not commenced operations or has filed its ACRA annual return, its separate IRAS filing obligations must still be checked.
- Tax records must be retained for at least the prescribed period, calculated from the relevant Year of Assessment, as required by IRAS; do not confuse this with the commencement point for MAS client-information retention.
- Verify separately the current names, application conditions and economic-substance requirements for fund tax incentives; do not rely on outdated Form13R/13X references in former materials.
Tokenised products, DTSPs and digital banking window
Tokenised capital markets products should be assessed by reference to their rights and economic substance to determine whether they are securities, units in a collective investment scheme or derivatives, before assessing CMS, issuance and market-operation rules. For digital payment token or tokenised capital markets product services provided in Singapore solely to overseas customers, MAS has stated that the DTSP regime takes effect from 2025-06-30, has a very high licensing threshold and generally licences will not be granted; unlicensed persons must cease regulated activities. This is not a permissive licensing route for serving overseas customers. A compliant licensed model already serving customers in Singapore must not be conflated with this overseas-only DTSP model. [18]
A CMS licence does not authorise banking or the acceptance of deposits from the public. The information on the MAS digital banking page concerning the application process is a historical reference to 2019. In this review, no announcement of a newly opened application window for 2026 was found on that page; accordingly, clients must not be told that digital banking applications are currently open for a new round, or that historical digital banking requirements apply to CMS. If MAS announces a new window in future, the new announcement should be checked; until then, it can only be stated that no new window has been confirmed. Payment services, DTSP, CMS and banking activities must be assessed separately under their respective laws and current licensing status. [1] [17]
- Digital assets are not a single category of products that can all be covered by any one MAS licence.
- The fact that the substance of regulated activities is offshore does not mean that a Singapore entity can circumvent DTSP or other applicable requirements.
Attribution and matters requiring confirmation
This article was prepared by 仁港永胜(香港)有限公司, with professional commentary by business manager 唐上永(唐生). It draws on the company’s own CMS guide to distil business classifications, application materials, account opening, risk and ongoing maintenance, and corrects outdated rules by reference to official MAS, ACRA, IRAS and Singapore Statutes Online materials. Regulatory laws, official guidance and third-party knowledge are attributed to their respective sources. Articles by external authors are not misrepresented as original work of the company, and unsupported assurances of approval, budgets and investor compensation in the original materials are not retained. [20]
Checked as at 2026-11-04. Access to some MAS fund management guideline PDFs, attachments to new anti-money laundering notices and certain electronic forms was restricted. This article therefore uses accessible official pages and current provisions in SSO, and qualifies affected details accordingly. Before actual submission, the specific qualifications and appointment process for fund management personnel, the latest versions of notices, business-specific capital calculations and regulatory returns must be reconfirmed; MAS may impose conditions based on the individual application. This article is for business planning and does not constitute an MAS decision or legal or tax advice, nor does it guarantee approval, account opening or completion by any particular date.
- Key corrections: RFMC has been abolished; the base capital for product financing and standalone custody is S$1,000,000; the ordinary effective-control threshold is 20% or actual policy control, while VCFMs have a specific exemption.
- Systems, personnel and funds must be genuinely in place; purchasing a set of templates alone does not permit a person to conduct regulated business.
Frequently Asked Questions
Can a single CMS licence cover all financial services?
No. A CMS licence covers only the specific capital markets activities, products and client scope approved by MAS. Payment services, banking, general financial advisory and market operation must be analysed separately. Adding CMS activities will generally require a Form5 application and satisfaction of additional capital, personnel and conduct requirements. [1]
Can an RFMC application still be made in 2026?
The RFMC should not be treated as a current registration route. The regime was abolished on 2024-08-01 and the relevant arrangements have been removed from the current Regulations. Select an LFMC, an eligible VCFM or a statutory exemption verified against the applicable requirements, according to the business. A historical RFMC certificate is not current authority to conduct business. [4] [5]
Does a VCFM with base capital of 0 need no money or personnel?
No. 0 is the base capital amount in the Schedule for eligible entities conducting only VCFM business, and is accompanied by specified exemptions. The entity must still hold a CMS licence, maintain an appropriate team and genuine operations, and fulfil anti-money laundering and specific notice and declaration obligations. It must also have sufficient funds to meet its operating costs. The exemptions may cease to apply if other activities are conducted. [3] [4]
Can a business serving only high-net-worth clients always use the S$50,000 capital tier for dealing activities?
Not necessarily. The lowest tier applies only to the specified products and client categories, and only where all conditions are met, including not carrying client positions, not receiving client monies or assets, and not acting as principal in client transactions. A marketing description of a client as high-net-worth also does not establish that the client qualifies as an accredited investor.[1] [3]
Does every acquisition of 5% of an ordinary CMS company require prior MAS approval?
That is too broad. Section 97A primarily addresses the acquisition of effective control, including 20% or more of the share capital or voting power and actual policy control, and requires associated persons to be taken into account. A 5% shareholder review and disclosure of information are not directly equivalent to approval for a change in control. Any conditions for a particular approval must still be checked; eligible VCFMs have a separate exemption from section 97A. [2] [4]
If MAS says the review takes 6 months, can we promise a licence within 6 months?
No. This is the estimated review time for a standard application that is complete and meets the admission criteria; it does not cover all preparation work or the fulfilment of IPA conditions. Complex applications, requests for additional documents, material changes or dependencies relating to account opening may extend the timeline, and MAS may also refuse or withdraw in-principle approval.[1]
Does registering at the company secretary’s address satisfy CMS premises requirements?
Not necessarily. An ACRA registered office and the actual business premises may differ, but a CMS applicant must demonstrate genuine local management, business operations, personnel and capacity for inspection. Provide evidence of genuine office arrangements and record protection; do not use an MAS or consultant address as the applicant’s business address. [2] [11]
Must a CMS licence be reapplied for every year after it is granted?
Generally, a licence is not reissued annually, but annual fees must be paid and the licensee must continue to meet its licensing conditions and fulfil audit, capital, business and event-reporting requirements. A licence may lapse, be suspended or be revoked by law. An ordinary CMS licensee faces a statutory risk of lapse if it does not commence business in time after licensing; exceptions for VCFMs and others should be checked separately. [1] [4] [15]
Can an offshore digital-asset business apply for a DTSP instead, or apply for a digital bank at the same time?
The DTSP must not be treated as a permissive alternative route. MAS applies a high threshold to DTSPs serving only overseas customers and generally does not grant licences. The historical digital banking page is also not an announcement of a new application window for 2026; this review has not verified that a new window is open. Applicants should await a formal new MAS announcement. A CMS licence itself does not authorise banking business. [17] [18]
