Business and application categories
Before conducting business in Singapore involving advice on investment products, the issuance of research analyses or reports, or arranging life policies, first determine the licensing requirements, entity-based exemptions or limited-activity exemptions under the Financial Advisers Act. Based on MAS, SSO, ACRA and IRAS official materials verifiable as at 2026-11-04, this article explains service classification, current entry capital, team requirements, applications, acquisitions and ongoing maintenance, and corrects the previous guide's statements on fees, representative qualifications and annual licence renewals.
Business characteristics and suitability considerations
- Establish a verifiable local regulatory status within the scope of approved activities and products, enabling clients and business partners to check the authorisation to operate, but not indicating MAS's endorsement of the returns or safety of any investment.
- Integrate client needs analysis, records of advice, product due diligence and conflict-of-interest management into a consistent process to reduce the risk of mis-selling and subsequent disputes.
- Eligible banks, insurers, CMS licensees and other entities may rely on entity-based exemptions to avoid duplicating an FA licence application, but remain subject to applicable advisory conduct and representative management obligations.
- Businesses with genuinely restricted client groups or activities may assess limited exemptions to avoid unnecessary overlap in licensing; the trade-off is the need to remain within client, product and service boundaries at all times.
- Eligible cross-border arrangements can draw on overseas expertise and research capabilities while clearly defining the Singapore entity's responsibilities for supervision, disclosures and client contact.
Advice on investment products
Providing advice on investment products directly or through electronic, print or other publications; exclusions under the Second Schedule to the FAA and the business boundaries under the SFA must also be assessed. Whether a fee is charged is not the sole determining factor.
Capital / funding requirements:MAS's current general FA entry expectation is S$500,000, or S$300,000 plus an additional S$500,000 in professional indemnity insurance; statutory requirements under the FAR must also be checked.
Investment research analysis and research reports
Issuing or disseminating research analyses or reports on investment products, including through electronic channels; the MAS entry expectations for pure research business apply only where the business genuinely provides this type of service exclusively.
Capital / funding requirements:MAS's current pure research entry expectation is base capital of S$250,000 and professional indemnity insurance cover of S$500,000; where specified products under Regulation 15 of the FAR are involved, the higher statutory floor must also be met.
Arranging life policies
Arranging contracts for life policies, excluding reinsurance; general insurance, insurance broking and premium account arrangements must be checked separately against the Insurance Act and FAA requirements.
Capital / funding requirements:MAS's current general FA entry expectation is S$500,000, or S$300,000 plus an additional S$500,000 in professional indemnity insurance; this is not the underwriting capital of an insurer.
Exemption from EFA status for existing regulated institutions
Section 20 of the FAA covers licensed banks, merchant banks, licensed insurers, registered insurance brokers, CMS licensees and finance companies granted the relevant approval, among others. Exchanges and similar entities are covered only for statutory activities incidental to their functions; other prescribed categories or categories designated by written notice may also qualify.
Capital / funding requirements:Apply the relevant regime for the entity, such as banking, insurance or CMS, and any case-specific conditions; there is no single FA capital figure applicable to all EFAs.
Services to institutional investors, related corporations and related persons
FAR section 27 provides a licensing exemption for services to institutional investors, related corporations and related persons that meet the definitions. The legal relationship and client eligibility must be substantiated; the exemption cannot be extended to general clients.
Capital / funding requirements:This FA exemption does not prescribe a uniform minimum capital requirement; other business activities, the entity’s regulatory regime and financial soundness requirements must still be checked.
Limited adviser exemption for no more than 30 qualified investors
FAR section 27(1)(d) applies to an entity that meets the definition of a Singapore resident, in respect of advice or research on non-life investment products, provided that it has no more than 30 qualified investors at any time; specific notification and annual declaration requirements must be met.
Capital / funding requirements:There is no generally applicable FA minimum capital figure for this exemption; the fit and proper and other applicable requirements must continue to be met.
Exemption for advice to professional clients on bonds
FAR section 28 provides a specific exemption for prescribed corporations providing advice, analysis and reports on bonds to qualified investors or institutional investors; it is not a licence to sell any securities to retail investors.
Capital / funding requirements:This specific FA exemption has no uniform capital figure; execution of transactions or other business activities must be assessed separately.
Specific exemption for advice on commodity OTC derivatives
FAR section 27 covers a specific pathway for providing advice on prescribed commodity OTC derivatives to qualified investors or institutional investors, and also covers approved global trading companies; it must not be applied to all advice on foreign exchange or digital assets.
Capital / funding requirements:There is no uniform capital requirement for an FA exemption; check the product, client base, approved status and any other regulated activities.
Approved headquarters, treasury centres and Lloyd’s Service Company
Headquarters and treasury centres are limited to approved qualifying services; the advisory business of a Lloyd’s Service Company must be solely incidental to its business as an agent of a Lloyd’s member.
Capital / funding requirements:Determine the applicable requirements by reference to the approved entity and relevant regimes such as insurance; no general FA capital figure is specified.
Pure introduction activities
FAR section 31 permits qualifying corporations or related individuals to conduct prescribed introduction activities. They must not provide investment advice or recommendations, arrange life policies beyond the permitted scope, or handle client property under the guise of introductions; the introduction relationship and remuneration must be disclosed.
Capital / funding requirements:The pure introduction exemption itself has no uniform FA minimum capital requirement; the applicable conditions and record-keeping requirements must still be met.
Arrangements for foreign research institutions
FAR section 32C requires a foreign research institution to enter into an arrangement with a qualifying Singapore financial adviser; its overseas office must be regulated locally, and its reports must include a Singapore contact and a statement of applicable legal responsibilities.
Capital / funding requirements:There is no uniform Singapore FA capital figure for the foreign research exemption; the Singapore partner must continue to meet the requirements of its own regulatory regime.
Cross-border arrangements involving foreign related corporations and overseas offices
Assess the qualifying services, regulation, clients and local oversight conditions under the 2021 FRC or FO specific exemption legislation and FAA-N22 and FAA-N23; research report services have a separate specific pathway and the pathways must not be conflated.
Capital / funding requirements:There is no generally applicable minimum FA capital requirement for cross-border arrangements; the local institution should put in place resources commensurate with its licence and cross-border risks.
SFA related exemptions, venture capital fund managers and specific approved arrangements
FAR sections 32A, 32D and 32CB respectively contain provisions for specific SFA-exempt entities, venture capital fund managers and approved arrangements. The entity and service boundaries must be verified in each case; these provisions are not an exemption for independent public-facing investment advisers.
Capital / funding requirements:Check the relevant SFA regime, original licence and approval conditions; some provisions and annexes were not fully retrieved for this exercise, so the current full text must be obtained before implementation.
01|First determine whether the actual services fall within the FAA
A financial adviser licence is not a single licence covering all financial activities. The Financial Advisers Act 2001 (FAA) regulates persons carrying on a business of providing financial advisory services and their representatives. A business should review its website pages, adviser scripts, product screening, recommendation logic, client agreements and sources of remuneration together, rather than looking only at whether the company name uses the words “consulting” or “technology”. Whether a person is carrying on a regulated service must be determined by reference to the service content, whether it is conducted as a business, the nature of the product and any statutory exclusions or exemptions. Free articles are not automatically exempt, but general educational content should not be treated as requiring a licence merely because it influences investment decisions.[1] [2]
First identify whether clients are in Singapore, whether the institution carries on business in Singapore, whether clients are retail or belong to a statutory professional client category, and whether the service involves advice or actual asset management. Advice, dealing as agent, fund management, custody and payments may fall under different legislation at the same time. Disclaimers do not change the actual activity; an overseas licence, company registration or the label “serving overseas clients only” does not automatically remove Singapore regulatory requirements.
- Map the business process across six elements—products, clients, advice, transactions, control of assets and fees—and identify the entity actually performing each activity.
- Complete the activity assessment before publishing content that has a clear recommendation effect or soliciting clients, and retain the basis for the assessment.
02|Three service categories and common product boundaries
The current Second Schedule to the FAA lists three services. The first is advising others, directly or through publications, writing or other means, on investment products, subject to the exclusions in the Schedule. The second is issuing or promulgating research analyses or reports concerning investment products. The third is arranging contracts of life policies, excluding reinsurance. The definition of investment products covers capital markets products, prescribed spot foreign exchange contracts, life policies and other prescribed products. The scope of products authorised must also be checked for each licence.[2]
Fund advice and the distribution of fund transactions are not the same activity. Older materials list “marketing collective investment schemes” as a separate FAA service; this should not be carried over mechanically: the current Second Schedule contains the three services above, while activities involving transactions in fund units, order execution or distribution must also be assessed under the Securities and Futures Act (SFA). Robo-advisory is not separately exempt simply because it is automated; if a platform exercises investment discretion over a client’s portfolio, it may also constitute fund management.
Arranging life policies does not mean that a person may carry on insurance underwriting or all forms of general insurance broking. MAS states that an FA intending separately to carry on insurance broking under the Insurance Act may need to notify MAS using Form E to conduct exempt insurance broking business and comply with the relevant conduct requirements and the minimum standards for broking personnel under MAS Notice 502. Assess the actual insurance class and role; do not treat an FA licence as an insurer’s licence.[1]
- If a research-only business adds personalised recommendations or life policy arrangements, reassess the scope of activities, capital and insurance.
- Do not present the actual management of client assets as merely providing asset allocation advice.
03|EFA is an exemption based on status, not another universal licence
Section 20 of the FAA lists exemptions based on institutional status: licensed banks and merchant banks, licensed insurers or co-operative insurers, registered insurance brokers, CMS licence holders, and finance companies exempted under the Finance Companies Act to provide advisory services. The exemptions for approved exchanges, recognised market operators and approved holding companies are limited to statutory services incidental to their market operations or holding company functions. Other prescribed categories and categories designated by MAS in writing may also qualify.[2]
These entities are exempt from holding a separate FA licence; they are not exempt from all advisory obligations. Section 20 of the FAA expressly extends applicable conduct requirements to most EFAs. FAR section 37 provides that institutions in the applicable categories under section 20(1)(a) to (e) generally must submit Form 26 at least 14 days before commencing advisory services or adding a service or product class, unless MAS permits a later date. Changes to relevant particulars must generally be notified using Form 27 within 14 days. Check the notification requirements, appointment of representatives, product boundaries and restrictions under the entity’s original licence.[7]
- First verify the entity’s valid status in the MAS Financial Institutions Directory, then verify the specific notice applicable to its advisory services.
- A payment services licence is not, in itself, included in the exemption list for the banking, insurance or CMS statuses referred to above.
04|Exemptions for institutions, groups and up to 30 qualified investors
FAR section 27 provides specific licensing exemptions for services to related corporations, related persons and institutional investors. The relationship and institutional investor status must be substantiated in accordance with the legal definitions; they cannot be determined solely by a shared brand, cooperation agreement or “high-net-worth” marketing description. An approved head office company or treasury centre may rely on this route only for services approved as qualifying services; adding unrelated third-party clients may change the outcome. [4]
Section 27(1)(d) provides a separate, limited exemption for financial advisers: the entity must meet the prescribed definition of a Singapore resident, provide advice or research on non-life insurance investment products, and have no more than 30 qualified investors at any time. Qualified investor status must be verified against the current investor classification and applicable consent mechanism; it is not enough for a client simply to sign a statement saying that they “consider themselves professional”. The limit is not a simple marketing allowance to rotate 30 investors each year; additions, departures and shared relationships must be captured in an auditable count record. [4]
This route requires regulatory notification. FAR section 37(2) requires Form 20 to be submitted within 14 days after commencing business, Form 21 within 14 days after a change in particulars, Form 22 within 14 days after ceasing business, and a Form 23 declaration within 14 days after the end of the financial year, unless MAS allows an extension. Section 27 also imposes restrictions and reporting requirements concerning failure to conduct business in accordance with the conditions, cessation for a continuous period, and events relating to fitness and propriety or financial position. Merely registering a small company does not entitle it to claim EFA status. [4] [7]
- Include each client’s qualification evidence, applicable consent records, service start and end dates, and investor-count monitoring in the compliance register.
- The partial exemption from conduct requirements under section 32B is different from the licensing exemption under section 27 and should be assessed separately.
05|Bonds, commodities, insurance and other specific routes
FAR section 28 allows eligible companies a specific licensing exemption for providing bond advice, analysis and research reports to qualified investors or professional investors. It does not cover all securities and is not a licence to deal in bonds with retail investors. Section 27 also covers advice to prescribed professional-client groups on commodity over-the-counter derivatives, and certain advisory activities of approved global trading companies; the products must meet the commodity-value linkage conditions specified in the section. This route cannot be applied directly to ordinary foreign exchange, shares or any token. [4] [23]
A Service Company under FAR section 29 is an insurance service company with a specific meaning under the Lloyd’s Asia Scheme. Its advisory business must be solely incidental to its business as an agent for Lloyd’s members. It is not an exemption for a general corporate services provider, licensed corporate secretary or consultancy business. Even where it applies, the prescribed FAA conduct requirements continue to apply to the company and its representatives. [24]
Sections 32A, 32D and 32CB separately concern certain SFA-exempt entities, venture capital fund managers and approved arrangements. Direct purchases of insurance products, certain advice incidental to execution, and services to professional client groups may also benefit only from partial exemptions from conduct requirements, rather than a full licensing exemption. Before implementation, record the legal basis, continuing obligations and conditions that would cause the exemption to cease to apply, section by section. The full text of certain provisions was not retrieved in this review; accordingly, no general capital, client-group or service authorisation requirements are inferred from their headings. [3]
- The transitional provisions for qualified investors from 2018 to 2019 are not an entry route for new clients in 2026.
- For any specific exemption, assess whether the overall business mix could cause the exemption to cease to apply, rather than examining only a single consultation.
06|The line between introducing clients and providing advice
FAR section 31 distinguishes pure introduction activities from advisory services. Permitted introductions may include referring a client to an eligible FA or institution and, with the client’s consent, transferring information, or providing prescribed factual information such as the product name, provider, minimum subscription amount and fees. However, an introducer cannot tell a client which product is suitable for their circumstances, how much to invest or whether to replace an existing policy under the label of “making an introduction only”; an actual recommendation would undermine the pure-introduction position. [5]
The referral relationship, whether remuneration is received, and, if requested by the client, the amount of remuneration must be appropriately disclosed. Where the introducer works for multiple introduced institutions, requirements also apply regarding client consent and referral to the relevant institution that provides the required service. An introducer must not receive or handle client money or property in connection with an introduction; the business must maintain an introducer register as required by the applicable provisions. Individuals acting as introducers and employees of institutions are subject to different provisions; an entity-level exemption cannot simply be replicated for every independent individual. [5]
- Prepare reviewed factual information and referral scripts, and prohibit unauthorised suitability recommendations.
- Referral agreements should specify the scope, remuneration, consent to the use of information, complaint escalation and prohibition on handling client property.
07|Foreign research institutions and cross-border advisory arrangements
The foreign research institution route under FAR section 32C requires an arrangement with a Singapore-licensed or applicable EFA authorised to provide research services. The foreign institution must conduct activities under the arrangement from an overseas office and be regulated in the relevant jurisdiction. The report must tell recipients to contact the Singapore adviser regarding questions about the report; where the report is directed to persons outside the prescribed professional client group, it must also state that the Singapore adviser assumes legal responsibility for the report’s contents and that this responsibility cannot be reduced by a disclaimer. An overseas report cannot simply be uploaded to a website and described as exempt. [6]
Other cross-border advisory services provided by foreign related corporations (FRCs) and overseas offices (FOs) must be assessed under their respective exemption regulations issued in 2021 and FAA-N22 and FAA-N23. The definition of an FRC requires an actual related-corporation relationship; qualifying business is subject to the activities and products authorised for the local FA, and research report services are not directly included in this general route. The arrangement should establish local oversight, verification of overseas regulatory status, client qualification controls, access to information and complaint contact mechanisms. [15] [16]
MAS’s current form instructions indicate that Form FN must be submitted within 14 days after commencing qualifying business, Form FC within 14 days after a change to arrangement particulars, and annual Form FR within 5 months after the end of the financial year. The outdated generalisation that “all cross-border arrangements require prior approval” cannot replace the current notification framework; existing approved arrangements must also not be conflated with the new notification route. The old version of FAA-N24 was cancelled on 2025-07-01. The applicable anti-money laundering notice must be checked separately; cancellation of the old notice does not remove the obligation to conduct customer due diligence. [16] [17]
- Maintain records of group ownership relationships, overseas licences, service allocation, client disclosures and arrangement approvals or notifications.
- A cross-border exemption does not mean that local licensing requirements in the client’s jurisdiction can be bypassed.
09|Directors, CEO, professionals, compliance and representatives
MAS’s current FA application page requires at least 2 directors, at least 1 of whom must be resident in Singapore; the CEO must be resident in Singapore and have at least 10 years of relevant experience, including at least 5 years of management experience; and there must also be at least 3 full-time, Singapore-based personnel, each with at least 5 years of relevant work experience. Whether roles may be combined must be confirmed against each individual’s responsibilities and the admission guidelines. The requirement for 3 professional personnel must not be interpreted as requiring 3 additional people in every circumstance, nor may nominal directors or a purely outsourced team replace substantive management. [1]
A compliance function commensurate with the scale of the business should be established, capable of independently challenging the sales function, with clear accountability, board reporting, monitoring frequency and authority to require remediation. The materials verified in this review do not support a uniform requirement that every FA employ a full-time compliance officer with “exactly 5 years’ experience”; this is therefore not stated as a hard requirement. Group or external compliance support may form part of the arrangement, but its applicability must be explained. Outsourcing does not remove the responsibilities of the board or licensed entity.
A representative must be at least 21 years old, meet the education, relevant CMFAS examination and fitness and propriety requirements under the current FAA-N26, and be notified and certified by the institution through the CoRe system. FAA-N13 has been cancelled; the old module list or the standard “30 hours, 15 core hours” formulation must no longer be used. The qualifying provisional representative route applies to experienced individuals migrating from overseas: at least 3 years of relevant experience, with the examination requirements to be met and the corresponding conversion notification completed within a maximum of 3 months. Specific examination exemptions, CPD hours and record-keeping rules should be matched individually against the current annexes to FAA-N26. [8] [9]
- Prepare for each person a description of responsibilities, a detailed employment history, employment evidence, and education and examination records.
- A representative is not a standalone corporate licence; both licensed FAs and EFAs may use the appointed representative framework.
10|Genuine registered address and operational substance in Singapore
ACRA requires a local company to provide a genuine registered address in Singapore for receiving government and legal documents and keeping prescribed records; the address must be open to the public for at least 3 hours on every business day. The registered address may differ from the actual place of business, but it must be genuine, usable and capable of receiving documents; an unauthorised address must not be used. At incorporation, the company must also have a director who meets local residency requirements, and a company secretary is generally to be appointed within 6 months after incorporation. Work pass holders must separately confirm that the scope of their pass permits the relevant appointment. [10] [11]
An FA application should also demonstrate the CEO’s and professional personnel’s actual management and work arrangements in Singapore, rather than merely meeting the requirement to have a secretary receive mail. It is advisable to submit evidence of the genuine operating address, lease or right of use, staff deployment arrangements, confidential meeting and information protection measures, and plans for access to records, backups and cooperation with regulatory inspections. Whether shared office space is suitable should be justified by reference to confidentiality, access controls and the business. No verified rule has been identified that categorically prohibits all FAs from using shared offices or requires them to lease premises in a particular area; no such commitment is made here.
- The registered address, actual office address, employment details and work pass information stated in the application must be consistent.
- Do not use the contact address of a consultancy as the applicant’s registered address; this guide does not fabricate an office address for direct use.
11|Assess statutory minimums and MAS’s current admission capital requirements together
MAS’s current application page states the following admission expectations: for an entity that only issues or disseminates research analysis and research reports, base capital of at least S$250,000; for other financial advisory activities, at least S$500,000 in base capital, or S$300,000 in base capital plus an additional S$500,000 in professional indemnity insurance. Its financial resources requirement is the higher of one quarter of relevant annual expenditure for the preceding financial year and S$150,000. This is the official admission basis on which new applications should be budgeted; it is not a statement that the regulations have all been amended to adopt the same figures. [1]
Current FAR section 15 continues to prescribe statutory paid-up capital minimums: S$300,000 where advice or research is provided on futures, spot foreign exchange and specified foreign exchange OTC derivatives covered by the provision, and S$150,000 in other cases; foreign companies calculate this on the corresponding net head office funds basis. Section 16 separately requires local licensees to maintain prescribed net assets on an ongoing basis, assessed against one quarter of relevant annual expenditure and three-quarters of the applicable minimum paid-up capital, among other requirements; foreign companies are subject to a different net head office funds basis. All applicable requirements must be met; the lower amount cannot be selected. Where the activity is limited to research on specified futures or foreign exchange products, the S$250,000 admission summary also cannot override the S$300,000 statutory minimum. [3]
Base capital, registered and paid-up share capital, net assets and financial resources are not the same balance. Ordinary operating losses, deductions for intangible assets, contingent liabilities and payments to shareholders may all affect the compliance calculation. Financial projections should include monthly monitoring and capital-injection plans, and provide for working capital to cover personnel, insurance, audit, systems and office costs. There is no universal minimum capital applicable to all exempt FAs; an EFA must confirm the applicable requirements under the banking, insurance, CMS or relevant specialised regime.
- A newly established business with no preceding financial year should confirm with MAS the applicable calculation basis, projected expenses and licence conditions.
- Minimum capital is not the total application budget, nor is it funding that may be freely withdrawn after approval.
12|Professional Indemnity Insurance and Cost Budget
MAS’s current admission guidance specifies PII cover of S$500,000 for pure research business; for other business, cover is S$1 million where revenue does not exceed S$5 million, and the lower of 20% of gross revenue and S$10 million where revenue exceeds S$5 million. Under the lower base-capital option of S$300,000, an additional S$500,000 of insurance cover is required. The coverage amount is not the insurance premium, and insurance does not replace all net asset or financial resource requirements.[1]
Section 17 of the FAR separately retains a minimum coverage of S$500,000 and deductible limits, with the calculation differentiated according to whether the entity is a local or foreign company and whether it has a preceding financial year. Before purchasing, confirm the insured entity, activities and territory, retroactive date, exclusions, and complaint and claims handling, and ensure continuity on renewal. Advisory fees, staff remuneration, rent, audit and systems costs vary by engagement; do not present market estimates from old materials as official fees or a universal minimum budget.[3]
- Ask the insurance broker to provide written confirmation that the proposed activities meet the applicable cover and deductible requirements.
- Compare capital options holistically by cash contribution, premiums and operating losses, rather than comparing registered share capital alone.
13|Application Materials Should Demonstrate Operational Readiness
Company materials should include the current application form, incorporation and constitutional documents, shareholding and control structure, identification of ultimate controllers, financial information on the group and shareholders, evidence of source of funds, a list of business activities and products, target customers, fee and distribution arrangements, financial projections, and evidence that capital and PII arrangements are in place. All versions should be consistent with customer contracts, website descriptions and technical functions; plans for an unsigned lease or personnel not yet in post should be clearly identified as such, and gaps should not be filled with fabricated documents.[1]
Personnel materials should explain the fitness and propriety, relevant experience and allocation of responsibilities of directors, the CEO, professionals and representatives, including complete CVs, evidence of appointments, qualification examinations, declarations of regulatory history and any necessary explanations. Compliance materials should cover customer needs analysis, suitability of recommendations, product due diligence, conflicts of interest, advertising review, complaints, representative supervision, records, outsourcing and business continuity; where applicable, include anti-money laundering risk assessment, due diligence, sanctions screening and escalation of suspicious matters.
Digital advisers should also explain algorithm objectives, product screening, input validation, suitability testing, human intervention, version changes, bias monitoring and incident handling. For an exemption route, prepare a checklist of each legal condition, evidence of customer eligibility and numbers, service restrictions, relevant notifications and records, rather than submitting a generic “no licence required” statement. This checklist is a practical preparation framework; final attachments and formats should be determined by the current MAS forms.
- Demonstrate a real customer journey and map each regulatory obligation to a form, a responsible person and a system.
- Check consistency across capital, revenue, customer numbers, experience and business scope, and proactively explain anomalies and gaps.
14|Application Channels, Fees and Managing Timelines Without Promising an Outcome
MAS’s current guidance states that a new FA licence application uses FAR Form 1, while an existing licensee applying to add advisory activities uses Form 2. The official page does not list routine FA applications as being accepted only during specific tender rounds; applications should be made through the current electronic channel, forms and payment instructions. This does not mean that every business model will necessarily be accepted. The company should first complete its business classification and put its team and capital in place, then submit complete materials, respond to requests for further information and necessary communications, and commence business only within the approved scope after fulfilling the conditions determined by MAS on a case-by-case basis.[1]
The official company application fee is non-refundable S$500, not S$1,000 as stated in old materials. The fixed annual company fee is S$2,000, with an additional variable company annual fee of S$5 per representative from the 101st representative, calculated from 01-01 each year. The fee for each new representative notification is S$200, and the fixed annual fee per representative is S$100, prorated in the first year from the registration date to year-end. Submission and payment methods remain subject to MAS’s current fee notice.[1] [9]
MAS expects review and processing of applications for simple businesses that fully meet admission requirements and have complete, clear materials to take no more than six months; complex cases or applications with incomplete or inaccurate information will take longer. This statement does not guarantee approval or a particular completion or commencement date. Incorporation, recruitment, relocation, examinations, insurance quotations, regulatory requests for further information and fulfilment of conditions should each be scheduled with separate contingency time. Commercial contracts should not make firm commitments based on an unconfirmed “expected licence approval date”.[1]
- Do not commence regulated business in advance of obtaining a valid licence or satisfying all conditions for an effective exemption.
- Make the regulatory decision, fulfilment of conditions and representative registration opening-readiness checkpoints; submission of materials does not mean that business may commence.
15|Acquisition of a Licensed Company and Changes to Shareholders and Directors
An acquisition usually involves a change to the shareholding and control structure of the licensed entity; a licence is not an asset that can be sold separately from the legal entity. Section 65 of the FAA provides that prior MAS approval is required to acquire effective control of a licensed FA in the form of a local company. This may be triggered by directly or indirectly holding 20% or more of the issued share capital or voting power, or by a person together with associates reaching the threshold. Effective control under the 2025 amendments also covers circumstances where an institution or its directors are accustomed or under an obligation to act in accordance with a person’s directions, or where a person is able to determine the institution’s policy; therefore, holding less than 20% is not necessarily safe.[2]
Before completion, assess the buyer’s fitness and propriety, source of funds, group impact, financial support and future business plans, and review the target’s licence scope, historical filings, complaints, insurance, customer records, representatives, regulatory communications and outstanding remediation matters. Make prior MAS approval a condition precedent to completion; do not first take actual control of policy or voting and apply afterwards. The equity-control process for an EFA must also be reviewed under the regime applicable to its bank, insurer or CMS entity; section 65 of the FAA should not be applied indiscriminately to every case.
Section 63 of the FAA requires a licensed FA to obtain MAS approval before appointing a CEO or director, or before a director changes from non-executive to executive. There is a statutory exception for certain non-local directors of foreign companies who are not responsible for Singapore business. There are also statutory exceptions, including for the immediate reappointment of the same person to the same position. Resignations and changes to information should be handled under the current toolkit; it should not be stated generally that all resignations require prior approval. A local company must also generally update relevant shareholder or personnel information with ACRA within 14 days of a change; ACRA registration does not replace MAS approval.[2] [12] [18]
- Check indirect holdings, associates, voting agreements, director appointment and removal rights, and policy veto arrangements, rather than looking only at the share-transfer percentage.
- Complete any required licence variation or notification separately for post-transaction additions of products, representatives and cross-border arrangements.
16|Recommendation Quality, Conflicts of Interest and Risk Controls
Customer needs analysis should record the customer’s financial circumstances, objectives, risk tolerance and product suitability, and retain the basis for the recommendation, the handling of any refusal to provide information and the alternatives considered. Product due diligence should examine structure, risks, fees, provider, liquidity and target customer group; sales personnel should not rely solely on product-provider advertising. Commissions, affiliated products and incentive structures must be included in conflicts-of-interest management. The use of the term “independent” is also subject to FAR conditions and cannot be used at will merely because the company is not affiliated with a bank.[2] [3]
Institutions should check the requirements applicable to their actual services concerning balanced scorecards for remuneration, independent sales audits, reporting of representative misconduct, advertising approval and complaint handling. Systems should support recommendation reviews, identification of unusual sales, CPD and examination records, incident escalation and remediation tracking. For outsourcing of technology or customer data, assess the service provider’s capabilities, data access, information security, backups, business continuity and exit arrangements; provision of templates by an external adviser does not constitute implementation of effective controls.[18]
Anti-money laundering and sanctions obligations should be implemented according to the notices in force at the time, the service category and the entity’s licence. The MAS page confirms that the previous versions of FAA-N06 and cross-border FAA-N24 were cancelled on 2025-07-01; searches also located a new version with the same number, FAA-N06, but its attachment was unavailable for this exercise. Accordingly, do not infer the full scope applicable in 2026 from the text of the old version. Obtain and check the current version and guidance before implementation; cancellation of the old version should not be interpreted as cancellation of customer due diligence, suspicious matter reporting or cross-border risk obligations.[17] [27]
- Retain reviewed versions of advertisements, publication channels, approvers and dates.
- Turn complaints, sales audits and regulatory incidents into remediation actions that the board can track, rather than merely recording the number of cases.
17|Licence Maintenance, Audit, Records and Ongoing Monitoring of Exemptions
An FA licence does not need to be reapplied for every year: MAS states that a licence remains in force until it expires or is revoked in accordance with the law, or the entity ceases all approved activities and MAS cancels it. Continuing validity does not mean that annual fees or regulatory submissions are not required. Licensed institutions should continuously monitor capital, financial resources, PII, suitability, staffing, representative activities and licence conditions; the applicable procedure for any new activity, product or material change to the business model should be identified in advance.[1]
Sections 51 to 52 of the FAA require an auditor to be appointed and, generally, annual accounts and prescribed audit reports to be submitted to MAS within five months after the end of the financial year, subject to any extension granted. FAR section 23 lists applicable Forms 14, 15, 16 and audit Form 17, among others. The specific electronic submission method is subject to current requirements; the outdated filing method in the legislation should not be copied directly. Books and accounts for prescribed non-financial transaction categories must generally be retained for at least five years; financial transaction documents must also be dealt with under the specific retention rules in the relevant laws. An audit exemption for small companies under ordinary company law does not automatically exempt them from an FAA audit.[25] [26]
Exempt institutions also have ongoing responsibilities. For an applicable EFA, a notice that a representative has ceased providing regulated services is generally due no later than the next business day; the 30 qualified investor route has an annual declaration due within 14 days; and cross-border arrangements have an annual filing due within five months. Customer numbers, customer eligibility, relationships and whether the business has exceeded its permitted scope should also be monitored. If a condition is no longer met, promptly cease the relevant activity and address the applicable licence or notification, rather than waiting until year-end to make a consolidated late filing.[7] [16]
- Maintain separate compliance calendars for MAS, representatives, insurance and each exemption, with a named owner and backup personnel.
- An orderly exit should provide for customer notifications, contractual matters, record retention and regulatory notifications before the relevant licence is cancelled or the company is terminated.
18|ACRA and IRAS Obligations Are Separate from MAS
A local company must maintain accurate registered office, director, secretary and shareholder information and applicable registers, and file information on registrable controllers and nominee arrangements as required. Changes to relevant information, personnel and share transfers of a local company are generally to be updated through Bizfile within 14 days, although certain matters must follow their corresponding procedures. An unlisted company generally files its annual return with ACRA within seven months after the end of its financial year; different deadlines apply in special circumstances, such as a foreign branch maintaining a register of members. A company that remains live must file even if dormant; dormancy does not automatically remove the filing obligation.[11] [12] [13]
The standard IRAS corporate income tax rate is 17% of chargeable income, not turnover. ECI is generally filed within three months after the end of the financial year, subject to exemptions; Form C-S, C-S Lite or Form C is generally filed annually by 11-30. The ACRA annual return, MAS audit filings and IRAS tax filings are separate obligations and do not replace one another. Tax source documents and accounting records should generally be retained for at least five years from the relevant year of assessment, and cross-border payments, tax residency and any GST issues that may arise should also be addressed.[14]
- When setting the financial year, schedule the audit, the five-month MAS deadline, the seven-month ACRA deadline and IRAS filing milestones together.
- Tax incentives, ECI exemptions and cessation filings should be considered separately; licensed status does not confer tax exemption.
19|Avoid Misrouting Digital Advisory, Fund Management and Digital Asset Activities
Pure advisory and discretionary fund management should be assessed separately. Older materials still list the RFMC as a small-scale fund management route for new applications; this is no longer applicable: MAS materials confirm that the RFMC regime was abolished with effect from 2024-08-01. The appropriate LFMC, venture capital fund manager or a genuinely applicable and effective exemption should now be assessed. An asset management business must not be launched under the RFMC registration scheme. An FA licence does not confer the right to accept deposits as a bank; our review found no new announcement of an application window for digital banks. The 2019 window closed on 12-31 of that year, and the current MAS page provides historical application reference material, not a current open application window that may be promoted as available. [19] [21] [22]
Digital assets should first be distinguished as payment tokens, tokens that are capital markets products, and other tokens. In 2025-06, MAS clarified that, with effect from 2025-06-30, only DTSPs providing prescribed digital token services to customers outside Singapore must be licensed. Given the money laundering and oversight risks arising from substantive activities conducted overseas, MAS has set a high bar and will generally not grant licences; unlicensed persons must cease the relevant regulated activities. This is not the same policy as that applicable to all local DPT service licences, nor is it a more permissive overseas-business alternative to an FA. Entities currently serving customers in Singapore remain subject to assessment under the applicable payment or capital markets regime. [20]
- Where digital advisory involves advice, fund management or execution of transactions, map each activity separately to the FAA and SFA; do not apply for one licence and assume that it covers everything.
- The digital bank application window, case-specific DTSP policy and classification of tokens should be reconfirmed with MAS before project implementation.
20|Professional guidance by Tang Sheng and notes on use of this document
This document was prepared by 仁港永胜(香港)有限公司, with professional guidance from Business Manager 唐上永(唐生). In practice, the initial assessment should be whether the business can implement the boundaries of its chosen route through client contracts, recruitment, system access rights and daily supervision, rather than first comparing which licence is “cheaper”. Within the same group, pure research, advice to the public, advice to a limited professional client base and fund management may require different arrangements. Fee projections, capital and staffing plans should be based on the business activities actually authorised.
This document was compiled using the user's own guide as source material and corrected against the MAS, SSO, ACRA and IRAS materials listed herein. It does not misrepresent official documents or external authors as original work by the company, and does not rely on unverified success stories, approval rates or cost assurances from older materials. The verification reference date is 2026-11-04; where certain MAS attachments and SSO details have not been fully extracted, this is indicated in the relevant paragraphs. This document is for business preparation and locating relevant rules; it does not replace legal, tax or investment advice for a particular case. The applicable MAS requirements and written conditions in force at the time should be confirmed for specific capital calculations, exemptions, representative qualifications and submission channels.
- Before commencing a project, prepare a checklist of business activities, client classifications, entity eligibility and conditions to be fulfilled.
- No commitment regarding regulatory approval, processing time or investment outcome may be made solely on the basis of this guide.
Frequently Asked Questions
If advice is provided only to accredited investors, does that mean an FA licence is definitely not required?
No. The activity must fall within a valid exemption and all of its conditions must continue to be met. For example, FAR regulation 27(1)(d) requires a prescribed Singapore-resident entity, non-life investment products and no more than 30 accredited investors at any time, as well as notifications upon commencement, change and cessation and an annual declaration. A general “high-net-worth client” label is not equivalent to being an accredited investor under the law.
Can a new FA applicant prepare capital of only S$150,000?
Not if the budget for a new application is based solely on the general statutory minimum under the FAR. MAS's current application page states admission expectations of S$250,000 for pure research, S$500,000 for other activities, or S$300,000 plus additional insurance of S$500,000. The statutory capital and ongoing financial resource requirements for the specific products must also be met. Pure research involving certain futures or foreign exchange products may also be subject to a statutory minimum of S$300,000.
Can a CMS-licensed company directly conduct any financial advisory business?
Section 20 of the FAA grants a CMS licence holder the corresponding status exemption, but the licence conditions, applicable conduct requirements under the FAA, notification under FAR regulation 37 of the commencement of or addition of services and products, and representative qualifications should still be checked. This status is not an unrestricted authorisation for all transactions, insurance underwriting or public marketing activities.
Does an FA licence need to be renewed annually?
MAS states that a licence remains in force until it expires by law, is revoked, or all activities cease and MAS cancels the licence. A licence generally does not need to be reapplied for annually, but ongoing obligations such as annual fees, audits, financial resources, insurance and regulatory filings must still be met.
Does acquiring 19% of the shares definitely mean prior approval is not required?
Not necessarily. Section 65 of the FAA covers not only a person and its associates directly or indirectly reaching 20% of the share capital or voting power, but also substantive control enabling that person to determine policy or cause the institution to act in accordance with its directions. All agreements, indirect shareholdings and actual governance influence must be assessed; nominal percentages alone are not determinative.
Does a foreign research company qualify for an exemption by putting its reports on a Singapore website?
There is no automatic exemption. FAR regulation 32C requires an arrangement with a qualifying local financial adviser, supervision of the overseas office, a designated Singapore contact, and, for the applicable client base, a declaration that the local adviser assumes legal responsibility for the content. The routes for direct reports, general cross-border FRC arrangements and public personalised recommendations must not be conflated.
Should representatives still follow the old FAA-N13 examination and CPD checklist?
They should not. FAA-N26 took effect on 2024-04-01, and FAA-N13 has been cancelled. Representatives should match their qualifications, examinations, exemptions and continuing professional development requirements to their current services and products; the attachments to the notice were not fully readable in this review, so the specific modules and hours must be confirmed against the current MAS attachment.
Does MAS's estimated six-month processing time mean approval is guaranteed within six months?
No. This estimate applies only where the business is straightforward, all admission conditions are met, and the application is complete and clear. Complex cases or insufficient information may take longer, and the application may not be approved. Preparatory work and fulfilment of conditions require additional time; this estimate should not be used to promise a commencement date or acquisition completion date.
