Approved Exchange / Recognised Market Operator

Singapore Market Operator Guide: Approved Exchanges (AE) and Recognised Market Operators (RMO)

An organised market in Singapore for securities, derivatives or units in a collective investment scheme should assess the approval or recognition requirements for an AE/RMO under the Securities and Futures Act. This article distinguishes between approved exchanges, Singapore RMOs and foreign RMOs, and explains capital, governance, applications, acquisitions and ongoing obligations, including the 2025 changes to prior approval requirements for changes in control and personnel. Business CategoryCapital Markets
Capital and funding requirementsThe minimum base capital for an AE is 10000000SGD, under section 6 of the current Securities and Futures (Organised Markets) Regulations. The AE must also comply with the ongoing liquidity and solvency requirements under SFA 02/02A/03-N01. A Singapore RMO is subject to SFA 02-N04, and must calculate eligible capital and liquid assets separately. Do not treat the company’s registered capital or CMS threshold as the RMO requirement; the official notice PDF could not be read for this review, so the amounts, calculation deductions and alert ratios must be confirmed against the full text then in force. The Singapore RMO capital notice does not apply directly to a foreign RMO; assess it by reference to home-country regulation and MAS’s individual recognition conditions.
Indicative application timelineThe MAS official application page states that processing and approval of an RMO application that meets all admission criteria, has a simple business model and is supported by clear and complete information takes approximately 9 months. Complex or incomplete cases may take longer. This is not a commitment to grant approval and does not include the applicant’s preparatory work. No generally applicable official processing timeline for AEs was identified; this should be confirmed with MAS on a case-by-case basis.
Application / regulatory statusMAS publishes the standard application route. The specific submission channel and case-specific conditions must be confirmed at the time of filing; AE/RMO status does not require periodic licence renewal, but ongoing compliance is required. This article is compiled from official materials accessible as at 2026-11-04; the full text of certain capital notices could not be accessed, and the relevant calculation details must be confirmed against MAS’s current requirements.

OVERVIEW

Business and application categories

An organised market in Singapore for securities, derivatives or units in a collective investment scheme should assess the approval or recognition requirements for an AE/RMO under the Securities and Futures Act. This article distinguishes between approved exchanges, Singapore RMOs and foreign RMOs, and explains capital, governance, applications, acquisitions and ongoing obligations, including the 2025 changes to prior approval requirements for changes in control and personnel. Verification date: 2026-11-04. Prepared by 仁港永胜(香港)有限公司, with a professional explanation by business manager 唐上永(唐生).

Business characteristics and suitability considerations

  • Operate an organised market lawfully within the scope of approved products, participants and activities, and do not mistake a brokerage or payment licence for authorisation to operate a trading venue.
  • Serve market participants through clear admission, trading, disciplinary and settlement rules, and provide a verifiable regulatory status for institutional due diligence and cooperation.
  • A Singapore RMO provides a regulatory pathway proportionate to the risks of a non-systemically important market. It is not an exemption from operating requirements, nor a guarantee that all retail customers may be served.
  • A foreign RMO may serve Singapore participants subject to meeting home-country regulatory comparability and regulatory cooperation requirements, and in accordance with its recognition conditions.
  • AE and RMO status does not require periodic licence renewal, facilitating long-term operational planning. However, continued eligibility depends on compliance with capital, personnel, systems and other regulatory obligations.
01

Approved Exchange (AE)

The applicant must be a legal entity incorporated in Singapore. This status is generally intended for markets of systemic importance. MAS will consider market size, products, services, participants, and the impact of disruption on the financial system and public confidence. Statutory obligations and governance requirements are higher than for an RMO. An applicant cannot choose or claim AE status solely by committing a higher level of capital.

Capital / funding requirements:Minimum base capital of 10000000SGD; base capital does not consist solely of paid-up ordinary share capital. The ongoing liquidity and solvency requirements under SFA 02/02A/03-N01 must also be met. Do not treat the minimum amount as the entire financial resources budget.

02

Singapore recognised market operator (Singapore RMO)

The applicant must be a legal entity incorporated in Singapore and would generally operate an organised market that is not of systemic importance. The scope of products and investors is subject to MAS recognition conditions. With effect from 2025-01-24, appointments of 20% controllers, the chairman, CEO, directors and other relevant persons are subject to new prior-approval requirements.

Capital / funding requirements:Confirm eligible capital, liquid assets and the applicable minimum requirements under SFA 02-N04, while also taking MAS’s individual conditions into account. The official PDF could not be accessed on this occasion, so a uniform paid-up capital amount cannot be concluded from older articles. The amount must be verified against the MAS notice currently in force.

03

Foreign recognised market operator (Foreign RMO)

The applicant must be a legal entity incorporated outside Singapore and the status is applicable where it operates a market overseas and provides services to Singapore participants. MAS relies on home-country regulation but requires the home-country regime to be comparable and appropriate cross-border regulatory cooperation arrangements to be in place. This status is not obtained automatically by incorporating a shell company in Singapore.

Capital / funding requirements:Assess financial strength against applicable home-country regulatory requirements and MAS recognition conditions; do not directly apply SFA 02-N04, which applies only to an RMO incorporated in Singapore. Whether a foreign entity must separately register a branch should be assessed based on the activities actually carried out in Singapore.

CHAPTER 01

01|First determine whether the business operates an organised market

MAS’s “Markets and exchanges” page explains that an entity operating a market in securities, derivatives contracts or units in collective investment schemes in Singapore may fall within the definition of an organised market in the First Schedule to the Securities and Futures Act (SFA). The project should first map out its quotation, order display, matching, execution and participant-to-participant trading mechanisms before making a legal characterisation. Calling a website a technology platform, private community or matching software does not change the nature of its actual activities.

Section 7 of the SFA restricts not only operating without approval or recognition, but also holding oneself out as operating an organised market and using terms such as securities exchange, stock exchange, futures exchange or derivatives exchange. An applicant should not represent that it has been approved by MAS while an application is pending, nor assume that inviting institutional clients only automatically qualifies it for an exemption. The exemption under regulation 27 relates to specific markets for over-the-counter derivatives in commodities and markets for wholesale trading in commodity futures, and is subject to participant conditions. It must not be presented as a general exemption for all private securities platforms.

  • Prepare a complete description of the legal classification of products, user locations, trading mechanisms, and the flow of funds and assets.
  • If the business is considered not to be an organised market or to qualify for an exemption, prepare the legal basis for each element; do not substitute a commercial name for legal analysis.
CHAPTER 02

02|Distinguishing an AE, a local RMO and a foreign RMO

Regulation 7 of the current Organised Markets Regulations distinguishes an AE from an RMO by reference to factors such as systemic risk and public confidence. MAS will consider market size and structure, the nature of its services, product types, investors and participants, and the persons who may be affected if the market experiences difficulties. An AE generally relates to a systemically important market; an RMO relates to other markets. Both must ensure fair, orderly and transparent markets. There is no uniform transaction-volume figure that an applicant can apply to determine its status automatically.

Section 8 of the SFA allows a Singapore entity to apply for AE or RMO status, while a foreign entity may apply for RMO status. A foreign RMO must demonstrate that its home-country regulatory framework is comparable to the SFA, including implementation of the IOSCO Principles for Securities Regulation, and that cooperation arrangements are in place between MAS and the home-country regulator. Do not treat historical consultation proposals for tiered RMO categories as current separate licence classifications. The specific operating permissions should be read from the MAS recognition document, not inferred from the licence abbreviation alone.

  • AE: local entity, assessment of systemic importance and higher statutory obligations.
  • Singapore RMO: local entity, operating subject to risk and recognition conditions.
  • Foreign RMO: foreign entity, home-country regulation and cross-border regulatory cooperation.
CHAPTER 03

03|Eligibility and feasibility assessment

The review areas listed on the MAS application page include whether the market structure meets international standards and good practices; the applicant’s track record, management experience and financial soundness; risk management, internal controls, business plans and projections; and corporate governance and fit and proper persons. A new project should explain genuine market demand, intended customers, transaction-volume and fee projections, and how it will continue operating in low-revenue or system-incident scenarios. It should not rely on unsupported promises of rapid profitability.

Section 9 of the SFA allows MAS to assess the integrity, financial standing and professional competence of the applicant, its substantial shareholders, officers and employees. False information, an adverse regulatory track record, lack of relevant experience or inability to demonstrate fair market operation may affect an application. MAS may impose conditions on products, activities, participants and financial matters. Recognition as an RMO therefore does not mean that the operator may deal in any asset, nor does it automatically permit retail trading. The benefits should be understood as a lawful basis to operate and verifiable institutional arrangements, not a government guarantee of investment safety or returns.

  • Align each part of the business plan with the system design, personnel responsibilities and budget, avoiding inconsistencies between documents.
  • Before applying, review existing regulatory records and litigation matters, and prepare factual explanations and evidence of remediation.
CHAPTER 04

04|Capital, liquidity and genuine operating budget

The minimum base capital for an AE is 10000000SGD, cross-checked against the MAS application page and section 6 of the current Regulations. Base capital, as defined in the Regulations, comprises paid-up ordinary share capital, qualifying preference share capital and retained earnings or losses, among other items, and is reduced by interim losses and dividends declared; it cannot simply be equated with the amount credited to a bank account. An AE must also comply with SFA 02/02A/03-N01. The current Regulations incorporate liquidity/solvency reporting and capital planning obligations effective from 2025-10-01; the explanation must not rely solely on the old minimum-capital description.

The MAS application page expressly refers to SFA 02-N04 for Singapore RMOs. The notice PDF and related official responses could not be accessed through fetch on this occasion; therefore, amounts or ratios in external summaries are not presented as confirmed current thresholds. The project should obtain the notice currently in force, calculate eligible capital and liquid assets separately, and confirm asset deductions, the operating-expense basis, calculation frequency and notification requirements when below a warning level. A foreign RMO should instead be assessed with reference to home-country regulation and MAS conditions. In addition to capital, the budget should cover personnel, market data and surveillance systems, cybersecurity, legal and audit costs, disaster recovery and exit arrangements. Client assets must not be treated as an operating buffer for the company.

  • Prepare evidence of the source of funds, bank deposit evidence, historical financial statements and projected capital calculations.
  • Before dividends, related-party loans or group fund transfers, assess their impact on ongoing financial compliance.
  • Do not substitute capital figures applicable to payment institutions or CMS licensees for the AE/RMO rules.
CHAPTER 05

05|Shareholders, ultimate controllers and source of funds

The application materials should disclose direct shareholders, the group ownership chain, ultimate beneficial owners and actual control relationships, explaining who provides funds, who has voting rights, who can appoint or remove directors, and whether any nominee or concert-party arrangements exist. The SFA controller rules take associated persons and direct or indirect voting rights into account; it is not sufficient to consider only a single percentage in the applicant company’s register of shareholders. Cross-check the ownership structure chart against the constitution, shareholders’ agreements and financing documents to avoid omitting convertible instruments or special voting rights.

MAS may assess shareholders’ integrity, financial strength and influence over the business. Funding of unclear origin or excessive reliance on short-term debt may affect the feasibility assessment. The company must also maintain information on registrable controllers, nominee directors and nominee shareholders as required by applicable ACRA requirements; such records do not replace regulatory disclosures to MAS. When bringing in investors later, first determine whether this triggers approval for a change of control, notification of a major shareholding change or a condition of recognition, rather than completing the corporate change first and addressing regulatory procedures afterwards.

  • Materials should include identification documents for shareholders and controllers, corporate registration information, financial information and explanations of the source of funds.
  • Set out ownership, voting rights, associated persons and proposed board seats, rather than providing shareholding percentages alone.
CHAPTER 06

06 | Directors, CEO and Compliance Personnel

At the time of local company incorporation, there must be at least 1 director who meets Singapore’s ordinary residence requirement, and a company secretary must be appointed within 6 months after incorporation. The secretary cannot be the same person as the sole director. These are requirements under ACRA’s company law framework; they are not the complete staffing threshold for a market operator. An AE must also assess the specialised corporate governance regulations applicable to it. Under section 33 of the SFA, an RMO must maintain adequate human resources and proper governance. This article does not state that every applicant must have a fixed 2 directors, 5 years of compliance experience or 10 years of CEO experience, as no uniform threshold of general application has been verified.

Section 28 of the SFA requires the appointment of an AE’s chairperson, CEO and directors to be approved in advance by MAS. With effect from 2025-01-24, section 41C also requires prior approval for the appointment of the chairperson, CEO and directors of a Singapore RMO; MAS may also require approval for appointments to key management positions or committees. Resignations or removals of relevant persons should be notified in writing as soon as practicable. In practice, responsibilities for trade surveillance, compliance, AML/CFT, technology risk, information security and finance should be clearly allocated, with independent oversight able to report directly to the board. Whether roles may be combined or outsourced should be confirmed in light of the scale of the business, conflicts of interest and MAS’s case-specific requirements; nominal directors cannot be used as a substitute for actual management.

  • Submit personal résumés, role descriptions, time commitments, background due diligence, fit and proper assessments, and arrangements for managing conflicts of interest.
  • Platform employees are not all subject to CMS representative examinations solely because the platform is an AE or RMO. Representative and examination requirements should be assessed separately if intermediary activities are also conducted.
CHAPTER 07

07 | Genuine Registered Address and Operating Premises

ACRA’s “Registering a local company via Bizfile” requires a local company to have a registered address in Singapore that is accessible to the public during normal business hours on every business day and is open for at least 3 hours, for the service of correspondence and legal documents. The registered address may differ from the place where the business operates. Accordingly, an address permitted for company secretarial purposes under company law should not be taken to mean that MAS has accepted it as the market’s operating arrangements. The application should disclose truthfully where day-to-day management, trade surveillance, system operations and business records are located or maintained.

If a co-working office is used, explain whether personnel genuinely work there, how confidential information is protected, how regulatory personnel can access records, and who can respond on site in the event of an incident. Confirm whether the arrangements meet the relevant requirements against MAS’s current requirements. A foreign RMO should not directly apply local company incorporation requirements; instead, it should disclose its principal overseas office, Singapore service arrangements and home-country regulatory information. MAS’s official Singapore office address is 10 Shenton Way, MAS Building, Singapore 079117; this is a regulatory contact address only and is not a registered address that applicants may borrow. Communications and submissions should still be made through the official channels designated at the relevant time.

  • Address materials may include a genuine lease, evidence of the right to use the premises, office and access arrangements, and an explanation of where records are located.
  • This guide does not claim that 仁港永胜 has any office address in Singapore that has not been verified.
CHAPTER 08

08 | Organising the Application Materials

Section 8 of the SFA requires applications to be made in the manner and form specified by MAS, which may continue to request information that it considers necessary. Do not directly apply CMS Form 1 or the single OPERA submission method described in the user’s older materials to an AE or RMO. Obtain the current forms, payment instructions and practical submission guidance from the market-operator-specific application page. Core materials include entity and shareholder documents, group structure, personnel information, business plan, financial projections and source of funds. A foreign RMO should also prepare information relating to its home-country licence, regulatory framework and regulatory cooperation.

The focus of a market operator’s materials is whether the market itself can operate safely and fairly. Provide admission and exit rules, product review, trading mechanisms, monitoring for abnormal orders and manipulation, disciplinary procedures, dispute and complaint handling, clearing and settlement, default management, and risk and compliance frameworks. Also explain the technology architecture, critical outsourcing, cybersecurity, business continuity and data confidentiality. Not every applicant is required to submit the same third-party report; provide independent testing or legal opinions as required by MAS. Preparing genuine, demonstrable operating processes is more useful than copying a generic financial licence template.

  • Company and personnel pack: entity documents, ownership and control chart, résumés, fit and proper information, and background declarations.
  • Market and risk pack: rulebook, product descriptions, participant management, trade surveillance and settlement arrangements.
  • Technology and financial pack: architecture diagrams, testing evidence, recovery plans, outsourcing documents and funding calculations.
CHAPTER 09

09 | Application Process, Window and Fees

A project may first undertake a legal assessment of its products and trading mechanisms, and then discuss the appropriate classification, participant scope and cross-border arrangements with MAS. Pre-application discussions do not constitute recognition or a commitment to grant a licence. The applicant should then prepare the entity, shareholders, team, funding and rulebook, and submit the application and fees through the official channel in force at the time. The MAS application page lists a non-refundable application fee of 4,000SGD; the payment method is as specified in the form. Annual fees should be checked against the regulations and MAS notices in force at the relevant time. This article does not state an annual fee figure that could not be fully verified.

MAS may request further documents, explanations, meetings with personnel or system demonstrations, and may impose remediation and commencement conditions. Applicants should track responses against a written list of questions. After completing any required capital, personnel approvals and testing, the applicant may operate within the approved scope only after obtaining formal approval or recognition. Official AE/RMO application routes continue to be published; no time-limited application window applicable to all applicants was identified in this review. The acceptance method should nevertheless be confirmed before submission. Do not market preliminary discussions, receipt of an application or any conditional document as a formal licence grant, and do not reuse the purported success percentages in older materials.

  • Business characterisation and classification discussions → preparation of personnel, funding and rules → formal application → queries and verification → fulfilment of conditions → formal approval to commence.
  • The financial institution directory on the official website may assist in verifying an entity’s status, but its actual permissions must also be checked against the conditions in its approval or recognition document.
CHAPTER 10

10 | Approval Time and Project Planning

The official MAS application page states that processing and approval for an RMO applicant may take approximately 9 months where the applicant meets all relevant admission criteria, its business model is simple, and its materials are complete and clear. Applications involving complex models or incomplete or inaccurate materials will take longer. This is a conditional official processing reference. It does not mean that any specified project will be approved within 9 months, and it cannot be treated as a guaranteed date for acquisition completion, customer onboarding or product launch.

Preliminary legal characterisation, shareholder due diligence, system development, recruitment and funding arrangements should be scheduled separately. Applicants should clearly record the output, dependencies and responsible person for each stage, and allow time for regulatory queries and retesting, rather than compressing preparation and licensing into a single fixed overall timeframe. No generally applicable approval timeframe for an AE was provided in the official materials readable for this review. A foreign RMO involving home-country regulatory communications should not mechanically rely on the reference timeframe for a local RMO. Any launch date in a commercial contract should be conditional on formal approval and actual readiness.

  • No guarantee of an approval date; do not treat a reference processing time as a statutory deadline.
  • The application-period budget should be sufficient to cover ongoing personnel and system investment over an extended period.
CHAPTER 11

11 | An Acquisition and Change of Control Involve More Than a Share Transfer

For an AE, section 27 of the SFA requires MAS approval before entering into a share purchase agreement that would make the acquirer a substantial shareholder. Prior approval is also required to become a 12% or 20% controller. For a Singapore RMO, with effect from 2025-01-24, section 41A requires MAS approval before a person becomes a 20% controller. The calculation includes the shares or direct or indirect voting rights held by the person and related persons. A holding of not more than 50% should not be taken to mean that approval is unnecessary, and shareholdings must not be split to avoid aggregation of related persons. Changes in an RMO holding below 20% may still trigger notifications of the acquisition or disposal of substantial shareholdings and may be subject to individual recognition conditions.

Regulation 26A requires a control application to explain the acquirer’s identity, business, substantial shareholders and management, other substantial holdings, shareholdings and voting rights before and after the change, the reason for the transaction, its structure and whether a board seat will be obtained. The rules triggered at signing and at completion should be analysed separately before the acquisition agreement is signed, with appropriate regulatory conditions included. Due diligence should cover capital shortfalls, regulatory correspondence, system incidents, litigation, customer and settlement liabilities, and remediation of breaches. A licence is not a separately transferable commodity. The legal entity acquired through a share purchase must continue to comply with its existing conditions; new products, a change in the management team or system migration are not automatically approved by virtue of completion of the share transfer.

  • For an AE, assess separately the approval required at the substantial shareholder agreement stage and approval for becoming a 12%/20% controller.
  • For a local RMO, approval for becoming a 20% controller, approval for director appointments and notification of material changes are separate obligations.
  • Changes in a foreign RMO’s shareholding must also be considered in light of home-country requirements and MAS recognition conditions; do not directly apply local section 41A.
CHAPTER 12

12 | Market Rules, Surveillance and Investor Protection

Section 33 of the SFA requires an RMO to maintain a fair, orderly and transparent market, provide fair and objective participation criteria, and maintain and enforce its business rules and applicable listing rules. An AE has corresponding statutory obligations at a higher level. The market should establish mechanisms for member admission, ongoing eligibility checks, investigation of abnormal trading and disciplinary action for breaches, and prevent commercial teams from relaxing standards to increase trading volume. Product admission should involve assessing legal characterisation, disclosures, pricing and settlement risks. Any applicable notifications and individual conditions relating to listing, delisting or trading must be complied with; products cannot be added arbitrarily.

The platform should ensure that participants clearly understand trading fees, margin, execution and cancellation rules, settlement obligations, the custodian of client assets, and the arrangements for handling a default. Regulations 13 and 25 require information on relevant services, products, charges, margin and existing investor compensation arrangements to be freely available. This does not mean that every market has a government compensation scheme. Approval of a trading venue does not amount to a licence for custody, brokerage, a clearing house or fund management. If other activities are conducted alongside the market, any separate licensing requirement or conditional exemption should be assessed; exemptions specific to certain activities in the industry should not be generalised to all settlement models.

  • Establish conflict management arrangements for market makers, related issuers and the platform’s proprietary activities.
  • Clearing and settlement contracts should specify default liability, asset delivery, payment of funds and the handling of business termination.
CHAPTER 13

13 | Anti-Money Laundering, Technology Risk and Business Continuity

The MAS market-operator regulatory checklist lists SFA02-N05, the Notice on Prevention of Money Laundering and Countering the Financing of Terrorism. The official notice page shows a version effective 2025-01-13 and amendments effective from 2025-07-01. Applicants should not rely solely on the Bank Notice 626 or payment PSN02 cited in older materials. Check the applicable entities and participant scope against the notice in force at the relevant time, and establish processes for identification and beneficial ownership verification, risk classification, sanctions screening, ongoing monitoring, suspicious activity reporting and record keeping. Outsourcing screening does not transfer the board’s responsibilities.

The current MAS checklist also refers to FSM-N21 Technology Risk, FSM-N22 Cyber Hygiene Notice, and the Technology Risk, Outsourcing and Business Continuity Guidelines. Systems should address access controls, privileged accounts, the integrity of orders and trades, backup and recovery, critical suppliers and incident escalation. Applicable recovery objectives and notification timelines should be verified against the current documents. Regulations require AEs and RMOs to maintain a plan for restoring a fair, orderly and transparent market on an ongoing basis and to review it periodically. An RMO must notify MAS as soon as practicable of significant trading disruptions and compromise of the security of user information, among other matters; it should not wait until the next annual audit to report.

  • Conduct security, capacity and recovery testing proportionate to the business, and retain evidence of remediation.
  • Distinguish the applicability of notifications to a local RMO from arrangements in the home country of a foreign RMO; do not state broadly that all notifications are identical.
CHAPTER 14

14 | Post-Licensing Returns, Incident Notifications and Ongoing Change Management

Regulation 22 of the current Organised Markets Regulations requires an RMO to submit audited financial statements within 3 months after the end of its financial year, unless MAS allows a longer period. Section 9 for an AE separately requires the submission of financial statements, audit materials and information on the performance of its duties within 3 months after the end of its financial year. Financial information for the first 3 quarters is generally due within 45 days after the end of each quarter. Monthly and quarterly statistical returns should also be confirmed against the market’s products and activities. An audit exemption for a small company under company law cannot be relied on directly as a basis for exemption from regulatory audit or reporting obligations applicable to a market operator.

From 2025-10-01, AEs must submit quarterly liquidity and solvency reports in accordance with the regulations: the first three quarters are generally due within 30 days after quarter-end, and the fourth quarter within 60 days after quarter-end. Capital plans are generally due within 30 days after the start of each financial year, unless MAS allows a longer period. AE notifications of material operational disruptions also distinguish between circumstances such as notification within one hour and within one day of discovery. Amendments to the rulebook are subject to a separate advance procedure. An RMO must notify MAS as soon as practicable of material changes to application information, financial irregularities, material trading disruptions, acquisitions or disposals of major shareholdings, and fit-and-proper issues. A compliance calendar should be prepared based on the applicable legislation, notices and individual conditions; a single uniform 14-day deadline cannot be applied to all matters.

  • For key personnel appointments at an AE and a Singapore RMO, obtain the applicable approval in advance; resignations or removals must be notified promptly as required by law.
  • AEs/RMOs are not required to renew their licences periodically, but cancellations, revocations, cessation of business and orderly exits must be handled in accordance with the law and MAS requirements.
  • Maintain transaction records and user information on an ongoing basis. Confirm the retention period and format under the applicable regulations, notices and conditions.
CHAPTER 15

15 | ACRA Company Maintenance and IRAS Tax Compliance

ACRA’s latest annual filing guidance sets the usual deadline for an unlisted company at 7 months after the end of its financial year; for a listed company, the usual deadline is 5 months, with separate requirements for companies maintaining branch registers overseas. This is not 7 months after the annual general meeting, and that wording in the user’s old material should be corrected. Changes to directors, the company secretary, registered office and relevant shareholder information generally must be updated through Bizfile within 14 days. The effect of electronic register of members registration on share transfers should also be considered. Completion of an ACRA filing does not establish that MAS has approved a change of control or personnel.

IRAS’s《Basic Guide to Corporate Income Tax for Companies》states that the standard corporate income tax rate is 17% of chargeable income, not 17% of business revenue. Estimated Chargeable Income (ECI) is generally due within 3 months after the end of the financial year, except for entities that qualify for an exemption. The annual Form C-S, C-S Lite or C is generally due by 11-30 each year. Platform fees, cross-border services, GST and withholding tax should be analysed based on the actual contracts. Do not promise that all income is tax-exempt merely because MAS status has been obtained, or automatically extend tax incentives applicable to funds to market operators.

  • Make separate arrangements for MAS regulatory filings, ACRA annual filings and IRAS tax filings; none substitutes for another.
  • Maintain company registers, financial records and evidence of board decisions in accordance with the applicable rules.
CHAPTER 16

16 | Boundaries for Digital Assets, Fund Management and Digital Banking

Markets trading tokenised securities or fund units should still be assessed under the SFA based on the substance of the capital markets products. Operating digital payment token services may also involve the Payment Services Act; an AE/RMO does not automatically replace a payment services licence. On 2025-06-06, MAS clarified that, from 2025-06-30, DTSPs providing services relating to digital payment tokens or tokenised capital markets products solely to customers outside Singapore are subject to the relevant licensing regime. MAS has set an extremely high threshold and generally does not issue licences; those without a licence must cease the regulated activities. DTSP is not a convenient offshore operating route from Singapore. Applicability must be assessed in light of the entity and its actual activities.

If the platform also manages assets for customers, fund management licensing must be assessed separately. The RFMC regime was abolished on 2024-08-01; SSO’s S637/2024 removed the RFMC definition and related rules. MAS’s current guidelines list LFMC and VCFM, so RFMC registration must not be presented as an available route for new applications. An AE/RMO also does not authorise the taking of deposits or the carrying on of banking business. Digital bank websites still list the 2019 eligibility and application materials as historical reference. No new application window was identified in this review, so it must not be represented that new digital bank applications are currently being accepted. If the project requires banking status, check MAS’s formal announcements again.

  • Map the regulatory boundaries for each product and ancillary service separately; do not treat one status as covering all business activities.
  • The old RFMC registration route, historical digital bank application window and DTSP policy must not be promoted based on outdated material.
CHAPTER 17

17 | Attribution, Use and Matters Requiring Confirmation

This article was prepared by 仁港永胜(香港)有限公司, with professional explanation by business manager 唐上永(唐生). It incorporates effective approaches from the user’s own Singapore guide concerning business characterisation, shareholder due diligence, consistency of materials, budgeting and ongoing maintenance, and has been updated against accessible MAS, ACRA, IRAS and SSO materials. External legislation, regulatory guidance and the content of other authors are not misrepresented as original views of the company, and promotional descriptions of experience are not substituted for official requirements.

The verification reference date is 2026-11-04. This guide is for project assessment and document preparation only; it does not constitute MAS approval, legal advice or a guarantee of licensing. The full RMO capital notice, AE supplementary capital calculation, official annual fees and actual submission portal, among other matters, must still be confirmed against current documents when the project starts. Personnel arrangements, cross-border models and recognition conditions must also be checked on a case-by-case basis. If an official page cannot be accessed, use the current legislation on SSO to verify matters that can be confirmed, and ask MAS about details that cannot be confirmed, rather than filling the gaps with an old consultancy draft.

QUESTIONS & ANSWERS

Frequently Asked Questions

Can a securities-matching platform serving accredited investors only operate without applying for an RMO status?

No. An exemption cannot be assumed solely because the participants are accredited investors. First determine whether the platform constitutes an organised market, then check each applicable statutory exemption or individual MAS exemption. Regulation 27 concerns specified commodity OTC derivatives and commodity large-scale futures markets; it is not a general exemption for all securities platforms serving professional investors.

Can an applicant freely choose between AE and RMO status based on the amount of capital?

No. MAS determines the appropriate regulatory category by reference to systemic importance, market structure, products, participants and the impact of an interruption. The minimum base capital of 10000000SGD for an AE is only one requirement and does not mean that injecting this amount will secure AE approval.

How much paid-up capital does a Singapore RMO actually need?

Do not rely only on the company’s registered capital or treat old figures found online as the complete requirement. MAS’s current application page points to SFA 02-N04, which should be checked for eligible capital, liquid assets and the applicable minimum requirements. As the official PDF could not be accessed in this review, this article does not present figures from external summaries as values confirmed to be current. Obtain the current MAS notice and complete the calculations before submission.

Can an RMO application be guaranteed approval within 9 months?

No. MAS’s indicative period of about 9 months is based on the applicant meeting all admission criteria, having a simple business model and submitting complete and clear materials. Complex or inaccurate applications may take longer, and the period does not include preliminary preparation. Whether approval is granted, and the timing, depend on the regulatory assessment.

Can I acquire 20% of a local RMO and notify MAS afterwards?

In principle, no. From 2025-01-24, section 41A of the SFA requires MAS approval before becoming a 20% controller of a Singapore RMO. Shares and voting rights must be assessed with regard to related persons and indirect control. Even below 20%, assess notification requirements for major shareholding changes and any individual conditions; changes to directors or the CEO are subject to a separate prior approval requirement.

Must a foreign exchange first establish a Singapore company before applying?

Not in every case. Section 8 of the SFA allows a foreign corporation to apply for RMO status. MAS generally relies on comparable home-country regulation and cross-border regulatory cooperation. If a separate operating entity is in fact established in Singapore or other activities are carried on, assess ACRA registration and other licences separately. The conditions applicable to a local company should not be applied directly to a foreign RMO.

Does an RMO need to renew its licence every year?

MAS states that AEs/RMOs are not required to renew their licences periodically, and their status continues until cancelled or revoked in accordance with the law. However, obligations relating to capital, personnel, audit, reporting, market surveillance and incident notifications continue to apply. An RMO is generally required to submit audited financial statements within 3 months after the end of its financial year, unless MAS allows a longer period.

Can a corporate secretary’s address be used instead of a genuine operating team?

That conclusion cannot be drawn. ACRA allows the registered office to differ from the business location, but the registered office must be genuine, accessible and meet the availability requirements. MAS assesses actual personnel, governance, systems and risk management. Whether a shared office is acceptable depends on evidence of actual operations; foreign RMOs should be assessed separately in light of their overseas and cross-border arrangements.

After obtaining RMO status for a securities token trading platform, can it operate all crypto-assets?

No. The approved products and participant scope are subject to the recognition conditions. Digital payment token services, custody, brokerage, clearing or fund management may involve other licences or conditional exemptions. The licensing threshold for a DTSP serving overseas customers only is extremely high, and MAS generally does not issue licences; it must not be treated as an offshore alternative to RMO status.

Can the RFMC and digital bank application routes listed in the old guide still be used directly?

They should not be. The RFMC regime was abolished on 2024-08-01. Fund management should be assessed against current applicable routes such as LFMC or VCFM. The 2019 materials listed on digital bank websites are historical references. No new application window was identified in this review. Check MAS’s formal announcements; do not claim, based on old documents, that applications are currently being accepted.
